Module 1: Foundation, Definitions & Platform Scope

1. Legally Binding Agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and EMW Technologies, LLC (“EMW Technologies”, “we”, “us”, or “our”). This Agreement governs your access to and use of every current and future EMWNews service, product, software, dashboard, report, subscription, API, artificial intelligence system, monitoring tool, business intelligence platform, publishing service, verification service, educational offering, consulting service, and any other technology or offering provided by EMW Technologies, LLC (collectively, the “Platform”).

The Platform includes EMWNews.com and all EMW-controlled domains, subdomains, localized versions, successor sites, and mirror or companion sites through which any Service is offered, including AlReport.org, AIReport.me, and AIReport.website (collectively, the “Covered Sites”). References to the Platform include every Covered Site unless a site-specific notice expressly states otherwise.

By accessing, registering for, submitting content to, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

2. About EMW Technologies, LLC

EMW Technologies, LLC is the technology and federal-contracting company behind EMW’s business visibility platforms, including AI Report™ and the EMW Business Visibility Platform™. The company develops and operates technology designed to help businesses and organizations be found, understood, trusted, and chosen in an increasingly digital and AI-driven world.

Applicable intellectual property is owned by EMW MEDIA Trust and licensed to EMW Technologies, LLC.

EMW has evolved from a press release distribution company into The Business Visibility Company™. We operate an integrated, multi‑faceted platform that combines business intelligence, visibility monitoring, AI discoverability, publishing, press release distribution, business profiles, business registry, verification, monitoring, reporting, analytics, education, and consulting — all designed to help businesses, organizations, and professionals understand, improve, and monitor their Business Visibility across the digital ecosystem.

Our Platform leverages proprietary methodologies, artificial intelligence, and real‑time data to deliver actionable insights, scores, and recommendations. EMW is not a generic news wire; we are a comprehensive business visibility solution for the modern digital economy.

3. Acceptance of Terms

By using the Platform — whether by creating an account, ordering services, viewing reports, submitting information, using software, claiming profiles, monitoring businesses, using APIs, accessing dashboards, or otherwise interacting with any EMW service — you automatically accept these Terms and agree to be legally bound by them.

Your acceptance is effective immediately upon any use of the Platform and continues for the duration of your relationship with EMW Technologies, LLC. If you do not accept these Terms, you must immediately cease all use of the Platform.

4. Commercial Use Acknowledgement

EMW is intended primarily for commercial and business use. You acknowledge and agree that you are using the Platform in a commercial capacity, whether on behalf of a business, corporation, limited liability company, nonprofit organization, government entity, media outlet, agency, consultancy, or as a professional acting in the course of your trade or profession.

This acknowledgement applies to all Users, including individuals who may be acting as sole proprietors or independent professionals. To the fullest extent permitted by applicable law, the parties acknowledge that the Platform is intended primarily for commercial and business purposes. Consumer protection laws that apply to personal, family, or household use do not apply to your use of the Platform. You waive any argument that you are a consumer entitled to consumer‑specific protections.

5. Eligibility

Age Requirement. You must be at least fourteen (14) years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 14 years old.

Legal Capacity. You represent that you have the full legal capacity and authority to enter into this binding agreement. If you are using the Platform on behalf of an entity (such as a company, organization, or government body), you represent that you have the authority to bind that entity to these Terms.

Authority to Bind. If you are an employee, agent, or representative of an entity, you acknowledge that your use of the Platform is imputed to that entity, and that entity is jointly and severally liable for all obligations under these Terms.

6. Definitions

Definitions Control Clause. Capitalized terms used throughout these Terms shall have the meanings assigned in this Definitions section unless the context clearly requires otherwise. These definitions apply to all current and future products, services, software, AI systems, APIs, dashboards, reports, subscriptions, monitoring systems, and any successor or replacement technologies, whether now existing or hereafter developed.

The following capitalized terms have the meanings set forth below, unless the context otherwise requires:

EMW Technologies, LLC

The United States technology and federal-contracting company that develops, operates, provides, and commercially licenses the Platform and Services, including services offered under the EMWNews brand.

EMWNews

The EMWNews brand, EMWNews.com, the Platform, and the related products and services operated or provided by EMW Technologies, LLC, as the context requires.

EMW MEDIA Trust

The owner of applicable intellectual property used in connection with the Platform and licensed to EMW Technologies, LLC.

EMW

A collective or brand reference that may include EMW Technologies, LLC, EMWNews, and, when the context concerns intellectual-property ownership or licensing, EMW MEDIA Trust. This collective definition does not blur which entity owns intellectual property or which entity is the contracting party.

Platform

The entire EMW ecosystem, including all software, dashboards, reports, monitoring systems, AI tools, APIs, subscriptions, publishing services, consulting, educational content, and future technologies.

Service

Any individual product, feature, or offering provided by EMW Technologies, LLC, whether current or future.

Business Visibility Platform™

The comprehensive suite of tools and services offered by EMW Technologies, LLC for monitoring, analyzing, and improving business visibility, including all related intellectual property, algorithms, and methodologies.

Business Visibility Score™

A proprietary, algorithmically calculated score that represents EMW’s assessment of a business’s digital visibility at a given time. The Score is based on EMW’s proprietary intellectual property, including its scoring methodology, weighting factors, confidence calculations, and algorithms. Scores may be subject to historical recalculations, methodology updates, algorithm changes, and historical corrections. Scores are opinions based upon EMW proprietary methodology. Scores are informational, educational, and are NOT guarantees of any specific outcome.

Business Visibility Monitoring™

The ongoing tracking and reporting of visibility metrics, including historical trends and changes over time. Monitoring includes scheduled scans, unscheduled scans, historical scans, and may be subject to maintenance, third-party interruptions, algorithm changes, temporary outages, historical corrections, score recalculations, and availability limitations. Monitoring frequency and intervals are determined by EMW Technologies, LLC in its sole discretion and may change without notice.

Business Visibility Snapshot™

A point‑in‑time evaluation of a business’s visibility across multiple digital channels. A Snapshot is NOT a certification, audit, guarantee, legal opinion, accounting opinion, tax opinion, consulting engagement, or professional advice. It is a proprietary assessment for informational and educational purposes only.

Business Visibility Evaluation™

A structured assessment of a business’s visibility, including strengths, weaknesses, and opportunities. The Evaluation is based on EMW’s proprietary methodology and is provided as an opinion, not as a guarantee or professional advice.

Business Visibility Report™

A detailed document or dashboard presenting visibility data, analysis, and recommendations. Reports may contain AI-generated information, human review, opinions, analysis, and recommendations. Reports are educational and informational, are not guarantees, and may change over time. EMW Technologies, LLC may update, correct, or regenerate reports at any time.

Business Profile™

A digital representation of a business within the EMW Platform, containing public information, verification status, and visibility metrics. Profiles may be automatically generated, partially generated, created from publicly available information, claimed later, verified later, updated, corrected, enhanced, merged, split, archived, made public, made private, removed, or restored as determined by EMW Technologies, LLC.

Business Registry™

The centralized database of business profiles maintained by EMW Technologies, LLC. Registry Records may contain public information, user‑submitted information, verified information, AI‑generated information, third‑party information, historical information, monitoring information, and visibility information.

Business Intelligence™

The data, analytics, and insights derived from the Platform’s monitoring and analysis, including Business Intelligence Data™ and Platform Data™.

Business Visibility™

The overall presence, discoverability, and perception of a business across search engines, AI platforms, directories, news media, and social channels.

Monitoring

The automated and continuous collection of data related to business visibility.

Verification

The process by which EMW Technologies, LLC confirms the authenticity and accuracy of a business profile.

EMW Verified™

A status indicator confirming that a business has been verified by EMW Technologies, LLC.

Business Visibility Standards™

The criteria and benchmarks used by EMW Technologies, LLC to evaluate visibility.

Dashboard

A user‑facing interface displaying visibility data, scores, and insights.

Report

A structured presentation of visibility data, analysis, and recommendations.

Business Intelligence Resolver™

A tool that correlates disparate data points to resolve business identity and visibility.

Discovery Engine™

An AI‑powered system that identifies visibility opportunities and trends.

Feed Discovery™

A real‑time feed of visibility‑relevant events and changes.

Historical Discovery™

The retrieval and analysis of historical visibility data.

Snapshot Engine™

The system that generates point‑in‑time visibility snapshots.

AI Discoverability™

The measure of how easily a business is found by AI‑powered platforms and assistants.

Artificial Intelligence (AI)

Machine learning, natural language processing, and other automated systems used by EMW Technologies, LLC.

Software

Any application, API, tool, or code provided by EMW Technologies, LLC.

Subscription

A recurring payment plan for access to specific Platform services.

Partner

A third‑party entity that collaborates with EMW Technologies, LLC to provide complementary services.

Affiliate

A person or entity that promotes EMW services in exchange for compensation.

Customer

Any User who purchases or subscribes to EMW services.

User Content

Any information, text, images, video, audio, or data submitted to the Platform by a User.

Public Business Information

Information about a business that is publicly available or submitted for public display.

Third‑Party Data

Data obtained from external sources, including search engines, directories, and social media.

Monitoring Data

Data collected through the Platform’s monitoring systems.

Scoring Methodology

The proprietary algorithms and criteria used to calculate Business Visibility Scores.

Proprietary Methodology

All algorithms, models, processes, and trade secrets used by EMW Technologies, LLC.

Platform Services

All current and future services offered through the Platform.

Future Services / Future Products

Any service or product that EMW Technologies, LLC may develop or offer after the effective date of these Terms.

Future Software

Any software, application, or API that EMW Technologies, LLC may release in the future.

Registry Record™

An individual entry in the Business Registry™, containing all data and metadata associated with a specific business profile.

Public Business Profile™

A Business Profile that is publicly visible and accessible through the Platform.

Claimed Profile™

A Business Profile that has been claimed by the business owner or authorized representative.

Verified Badge™

A visual indicator displayed on a Business Profile to denote that the business has been verified by EMW Technologies, LLC.

Business Visibility Methodology™

The proprietary set of processes, algorithms, weighting factors, and data sources used by EMW Technologies, LLC to evaluate and score business visibility.

Visibility Recommendation™

An action-oriented suggestion provided by the Platform to help improve a business’s visibility.

Business Visibility Audit™

A comprehensive review of a business’s visibility, typically performed using the Platform’s tools and methodology.

Historical Visibility Data™

All past visibility data, scores, and metrics stored by the Platform.

Monitoring Event™

A specific data collection or analysis occurrence performed by the Platform’s monitoring systems.

Visibility Scan™

A single pass of data collection and analysis performed across one or more visibility channels.

Monitoring Interval™

The scheduled frequency at which Monitoring Events occur.

Confidence Score™

A proprietary metric indicating EMW’s degree of certainty in a given visibility score or data point.

Resolver Confidence™

A Confidence Score specifically applied to business identity resolution.

Discovery Confidence™

A Confidence Score applied to discovery-related metrics.

Visibility Confidence™

A Confidence Score applied to overall visibility assessments.

Monitoring Confidence™

A Confidence Score applied to monitoring data and trends.

Historical Score™

A Business Visibility Score calculated for a past point in time.

Historical Monitoring™

Monitoring data that reflects past visibility conditions.

Public Business Information™

Information about a business that is publicly available or has been submitted for public display.

Business Identity™

The unique combination of attributes that distinguishes a business, including name, location, and other identifiers.

Business Authority™

A measure of a business’s credibility and influence in its industry or market.

Trust Signals™

Data points that contribute to a business’s perceived trustworthiness.

Visibility Signals™

Data points that indicate a business’s presence and prominence across digital channels.

Business Intelligence Data™

All data generated, collected, or derived by the Platform’s business intelligence systems.

Platform Data™

All data stored, processed, or transmitted through the Platform.

Al Report™

An EMW data-aggregation, open-source reporting, monitoring, and analytical service made available through one or more Covered Sites. An Al Report may include source observations, machine-generated records, technical metadata, analysis, opinions, and user-submitted material.

AI Report™

An EMW business visibility and AI discoverability platform, report, or analytical service. AI Report™ is a distinct product name from Al Report™.

Open-Source Information

Information lawfully available to the public from websites, databases, feeds, publications, records, search results, user submissions, and other sources. “Open-source” does not mean that the information is free of intellectual-property rights, accurate, official, declassified, or approved for unrestricted reuse.

Electronic Record

Any report, log, event, source capture, database entry, file, export, audit entry, hash value, timestamp, system output, communication, or related metadata created, received, maintained, or generated by the Platform.

Evidence Support Package

A separately requested and, where accepted, separately scoped collection of available records, exports, technical documentation, declarations, certifications, or custodian services intended to assist a requesting party in evaluating authentication or evidentiary use. It is not a promise of admissibility or legal sufficiency.

7. Future Products Clause

Any future EMW product, software, dashboard, AI service, monitoring system, report, subscription, platform, API, scoring system, business intelligence service, educational service, consulting offering, acquisition, merged product, renamed product, successor technology, replacement technology, future methodology, future algorithm, or any other technology or offering (collectively, “Future Products”) shall automatically become governed by these Terms upon release, unless EMW Technologies, LLC expressly states otherwise in writing. You agree that your continued use of the Platform after the introduction of any Future Product constitutes your acceptance of these Terms as applied to that Future Product. This provision ensures that these Terms remain comprehensive and forward‑looking, without requiring a major revision each time EMW innovates.

8. Platform Scope

EMW Technologies, LLC may, at its sole discretion, add, remove, suspend, replace, rename, modify, merge, split, retire, license, acquire, sell, or discontinue any product, feature, or service offered through the Platform without changing these Terms, provided that such changes do not materially alter the commercial purpose of the Platform. EMW Technologies, LLC will use reasonable efforts to provide notice of material changes, but is not required to do so. You acknowledge that the Platform is dynamic and that EMW Technologies, LLC reserves the right to evolve its offerings to meet business and technological needs.

Module 2: Business Visibility Platform™

2.1 Business Visibility Platform™ Overview

The EMW Business Visibility Platform™ (the “Platform”) is an integrated, proprietary ecosystem of current and future technologies, software, artificial intelligence systems, monitoring tools, reporting dashboards, business intelligence solutions, publishing services, verification services, educational offerings, and consulting services. The Platform combines business intelligence, visibility monitoring, AI discoverability, publishing, press release distribution, business profiles, business registry, verification, reporting, analytics, education, and consulting — all designed to help businesses, organizations, and professionals understand, monitor, evaluate, and improve their Business Visibility across the evolving digital ecosystem.

EMW Technologies, LLC may, at its sole and absolute discretion, expand, modify, rename, merge, replace, discontinue, or evolve any component of the Platform without requiring amendments to these Terms. You acknowledge that the Platform is dynamic and that your continued use constitutes acceptance of such evolution.

2.2 Proprietary Methodology & Intellectual Property

Applicable intellectual property relating to the Platform is owned by EMW MEDIA Trust and licensed to EMW Technologies, LLC. EMW Technologies, LLC operates and provides the Platform under that license and is authorized to grant the limited user rights expressly described in these Terms. This includes, but is not limited to:

• Business Visibility™, Business Visibility Platform™, Business Visibility Score™, Business Visibility Monitoring™;
• Business Visibility Methodology™, Scoring Methodology™, weighting factors, confidence calculations, and confidence models;
• Visibility Signals™, Trust Signals™, Business Authority™, Business Intelligence™;
• Business Intelligence Resolver™, Discovery Engine™, Feed Discovery™, Historical Discovery™, Snapshot Engine™;
• All monitoring systems, dashboards, reports, analytics, derived data, and algorithms;
• All future methodologies, algorithms, improvements, AI systems, monitoring systems, scoring systems, and business intelligence systems.

2.3 Business Visibility Framework™

The entire Business Visibility Framework™ — including Business Visibility™, Business Authority™, Trust Signals™, Visibility Signals™, Confidence Scores™, Monitoring Confidence™, Historical Scores™, and all related analytical models — is proprietary to EMW MEDIA Trust and licensed to EMW Technologies, LLC. These frameworks represent EMW’s proprietary analytical opinions developed exclusively through internal research, data analysis, and algorithmic modeling.

2.4 Business Visibility Score™

The Business Visibility Score™ is a proprietary, algorithmically calculated score that represents EMW’s assessment of a business’s digital visibility at a given time. The Score is based on EMW’s proprietary intellectual property, including its scoring methodology, weighting factors, confidence calculations, and algorithms, which incorporate first‑party data, third‑party data, and publicly available information.

Scores may be subject to historical recalculations, methodology updates, algorithm improvements, and score corrections. EMW Technologies, LLC reserves the right to modify, update, or replace any scoring methodology at any time without notice.

2.5 Business Visibility Monitoring™

Business Visibility Monitoring™ includes scheduled monitoring, unscheduled monitoring, historical monitoring, historical rescans, and ongoing data collection across multiple digital channels. Monitoring intervals, frequency, and data sources are determined by EMW Technologies, LLC in its sole discretion and may change without notice.

EMW Technologies, LLC may increase, decrease, modify, pause, resume, or permanently discontinue monitoring frequency at its sole discretion. Monitoring availability is not guaranteed and may be affected by maintenance, third‑party interruptions, algorithm changes, temporary outages, historical corrections, and score recalculations.

2.6 Reports, Evaluations & Snapshots™

The Platform provides various reports, evaluations, and snapshots, including but not limited to Business Visibility Reports™, Business Visibility Snapshots™, Business Visibility Evaluations™, Historical Reports™, Custom Reports™, and all future report types (collectively, “Reports”). Reports may contain AI‑generated analysis, human review, proprietary opinions, recommendations, and analysis.

Business Visibility Snapshots™ are point‑in‑time evaluations. Snapshots are NOT certifications, audits, guarantees, legal opinions, accounting opinions, tax opinions, consulting engagements, or professional advice. They are proprietary assessments for informational and educational purposes only.

2.7 Business Profiles™ & Business Registry™

Business Profiles™ are digital representations of businesses within the EMW Platform. Profiles may be automatically generated, created from publicly available information, claimed later, verified later, updated, corrected, enhanced, merged, split, archived, made public, made private, removed, or restored as determined by EMW Technologies, LLC. The Business Registry™ is the centralized database of all Business Profiles and associated data.

Historical versions of profiles, monitoring data, scores, and verification status may be retained indefinitely. Profiles may be claimed and verified, but verification is at EMW Technologies, LLC’s sole discretion.

2.8 EMW Verified™ & Verification

EMW Verified™ is a status indicator confirming that a business has been verified by EMW Technologies, LLC. Verification is discretionary, not permanent, and may be granted, denied, suspended, revoked, allowed to expire, renewed, or withdrawn at EMW Technologies, LLC’s sole discretion.

EMW Technologies, LLC may revoke verification without notice for any reason, including but not limited to fraud, violation of these Terms, inaccurate information, or at EMW Technologies, LLC’s sole discretion.

2.9 AI Discoverability™

AI Discoverability™ measures how easily a business is found by AI‑powered platforms and assistants. The Platform includes AI Discoverability Checker™, AI‑generated recommendations, AI‑generated analysis, AI monitoring, and AI scoring related to AI platforms including but not limited to ChatGPT, Gemini, Claude, Grok, DeepSeek, Copilot, Perplexity, Bing, Google AI, Apple Intelligence, and successor technologies.

2.10 Platform Availability

The Platform may be subject to scheduled maintenance, unscheduled maintenance, emergency maintenance, service interruptions, third‑party failures, internet failures, cloud provider failures, and force majeure events. EMW Technologies, LLC does not guarantee uninterrupted availability of the Platform.

EMW Technologies, LLC will use commercially reasonable efforts to provide notice of planned maintenance but is not required to do so. EMW Technologies, LLC has no liability for any downtime, interruptions, or data loss.

2.11 Third-Party Dependencies

The Platform relies on third‑party services, including but not limited to search engines (Google, Bing, etc.), AI platforms (ChatGPT, Gemini, Claude, Grok, DeepSeek, etc.), directories, news aggregators, social networks, data providers, hosting providers, cloud providers, and domain registrars. EMW Technologies, LLC has no control over any third‑party service.

2.12 Data Sources

EMW Technologies, LLC may lawfully use data from a variety of sources, including but not limited to publicly available information, user‑submitted information, third‑party data providers, historical data, monitoring data, AI‑generated data, public databases, web crawling, and web scraping where legally permitted. EMW Technologies, LLC may change data sources at any time without notice.

EMW Technologies, LLC makes no representations or warranties regarding the accuracy, completeness, or timeliness of data obtained from third‑party sources. You acknowledge that third‑party data may be inaccurate, outdated, or unavailable.

2.13 No Guarantees

2.14 Educational & Informational Purpose

All Platform outputs — including scores, reports, snapshots, evaluations, recommendations, and analysis — are provided for educational and informational purposes only. They do not constitute legal advice, financial advice, accounting advice, tax advice, investment advice, or professional consulting (unless separately contracted).

If you require professional advice, you should consult a qualified professional in the relevant field.

2.15 Al Report™ and Independent Research Networks

AlReport.org is a data-aggregation and open-source reporting platform used by independent threat-research networks, businesses, researchers, journalists, civil-society participants, and other authorized users. The Platform may help users organize, timestamp, compare, monitor, and report publicly observable information, including information concerning network anomalies, systemic vulnerabilities, business-visibility conditions, and references to federal, state, local, tribal, territorial, foreign-government, military, commercial, or nongovernmental domains.

No researcher, network, affiliate, contributor, or user is an employee, agent, partner, representative, or spokesperson of EMW Technologies, LLC merely because that person uses, cites, contributes to, or receives information from the Platform. EMW Technologies, LLC does not adopt or endorse a contributor’s allegation, conclusion, characterization, or legal theory merely by receiving, preserving, processing, or displaying it.

2.16 Civilian Reporting Interface; No Government Status

The Platform may provide a public or civilian reporting and tracking framework that users can employ alongside, before, or after using official reporting channels. It is not an official government, military, law-enforcement, intelligence, regulatory, inspector-general, emergency-response, or court-filing system. EMW Technologies, LLC is not affiliated with, authorized by, sponsored by, or acting on behalf of the United States Department of Defense, Department of the Army, any Inspector General, or any other government body unless a specific written agreement expressly states otherwise.

References to government documents or processes—including DA Form 1559, the Army Inspector General Action Request—are for identification and informational context only. Use of the Platform does not submit, replace, supplement, perfect, or satisfy DA Form 1559 or any other official complaint, incident-reporting, whistleblower, administrative, regulatory, law-enforcement, or judicial requirement. Users must separately submit required materials to the proper authority, observe applicable deadlines, and follow handling instructions. Users must not upload classified information, export-controlled technical data, controlled unclassified information, law-enforcement-sensitive material, protected health information, privileged material, personal identifiers, credentials, malware, or other restricted information unless EMW Technologies, LLC has expressly approved a lawful and secure submission method in writing.

2.17 Regularly Conducted Platform Activity

In the ordinary course of its regularly conducted activities, EMW Technologies, LLC may automatically or manually create, receive, collect, normalize, process, analyze, display, transmit, update, and preserve Electronic Records. Depending on the Service and technical availability, a record may be made at or near the time of a Platform event by an automated process, by a person with knowledge, or from information transmitted by a source represented as having knowledge. Maintaining records of that kind may be a regular practice of the applicable Platform activity.

This section describes intended operational practices; it is not a representation that every item, field, source statement, historical record, regenerated report, or user submission satisfies Federal Rule of Evidence 803(6), 902, any state rule, or any foreign evidentiary rule. The character, timing, source, trustworthiness, and method of preparation of each record must be evaluated individually.

2.18 Electronic Processes, System Records, and Technical Metadata

The Platform may associate Electronic Records with available technical and administrative metadata, which may include a record identifier, source locator, collection or generation time, Coordinated Universal Time (UTC) timestamp, account or system actor, event type, software or methodology version, processing status, revision history, export time, file attributes, audit events, and cryptographic hash or other digital-identification values. The presence or absence of any particular field depends on the Service, source, subscription, system version, storage tier, and date of collection.

Metadata, timestamps, audit trails, and hashes can assist integrity and provenance analysis but do not independently establish the truth of third-party content, the identity or authority of an outside speaker, completeness, legal relevance, hearsay treatment, chain of custody outside EMW Technologies, LLC’s control, or admissibility.

2.19 Record Versions, Corrections, and Dynamic Sources

Open-source and third-party information is dynamic. A source may change, disappear, block access, correct content, return different results, or present information based on location, account, language, personalization, timing, software version, or other variables. EMW Technologies, LLC may correct, annotate, supersede, regenerate, or preserve multiple versions of a report or record. A later display may differ from an earlier display without implying tampering or wrongdoing. Unless expressly stated, a current report is not a representation of what any third-party source displayed at an earlier time.

2.20 Evidence Preservation Requests

A user who reasonably anticipates litigation, investigation, audit, administrative action, or other legal process must promptly send a sufficiently specific written preservation request to [email protected] identifying the relevant account, record identifiers, URLs, date range, subject matter, and categories of information sought. A preservation request is not effective merely because a user downloads, cites, flags, or discusses a report. EMW Technologies, LLC may require identity and authority verification, clarification, reimbursement of reasonable preservation or production costs, and valid legal process.

Receipt of a request does not confirm that responsive records exist, are within EMW Technologies, LLC’s possession, custody, or control, can be preserved, or will be disclosed. Except where applicable law or a confirmed legal hold requires otherwise, EMW Technologies, LLC may apply its ordinary retention, deletion, correction, security, and data-minimization practices. Users remain responsible for promptly preserving their own copies and obtaining legal advice concerning litigation holds, deadlines, discovery, service, and admissibility.

2.21 Certifications and Evidence Support Packages

EMW Technologies, LLC may, but is not obligated to, evaluate a written request for an Evidence Support Package or a declaration or certification by a custodian or other qualified person. Any accepted request is subject to record availability, verification, legal review, applicable law, confidentiality, privacy, security, privilege, third-party rights, technical feasibility, advance payment of quoted fees, and a separate written scope. EMW Technologies, LLC may decline any request in its discretion where not prohibited by law.

Any declaration or certification will be limited to facts the signer can truthfully establish after reasonable review. EMW Technologies, LLC will not sign a false, misleading, overbroad, backdated, speculative, or legally unsupported statement; authenticate facts outside its knowledge or systems; certify the truth of third-party assertions merely because they were collected; or provide expert opinions absent a separate written engagement. Where appropriate, a declaration may use the form permitted by 28 U.S.C. § 1746, but use of that form does not itself satisfy every requirement of an evidentiary rule.

2.22 Federal Rules of Evidence 902(11), 902(13), and 902(14)

Certain records may be capable of authentication in a particular United States federal proceeding through a proper certification under Federal Rule of Evidence 902(11), 902(13), or 902(14), as applicable. Rule 902(11) concerns certified domestic records of a regularly conducted activity; Rule 902(13) concerns records generated by an electronic process or system that produces an accurate result; and Rule 902(14) concerns data copied from an electronic device, storage medium, or file and authenticated through a process of digital identification. The proponent is responsible for selecting the proper rule, satisfying all foundation and notice requirements, providing the record and certification sufficiently before trial, and giving an adverse party a fair opportunity to challenge them.

No Platform record is represented as self-authenticating merely because it exists, bears a timestamp or hash, was generated by the Platform, is called a “report,” or is covered by these Terms. No certification is included unless expressly furnished for specifically identified records by an authorized qualified person.

2.23 Authentication Is Not Admissibility

Authentication addresses whether evidence is what its proponent claims it is. It does not by itself establish that the contents are true or admissible. Even an authenticated record or valid certification may be excluded, limited, or challenged on grounds including hearsay, relevance, unfair prejudice, privilege, constitutional requirements, discovery violations, incompleteness, lack of personal knowledge, unreliable sources or methods, improper expert testimony, chain-of-custody defects occurring outside EMW Technologies, LLC’s systems, or other applicable law.

If a party offers an Al Report, score, analysis, methodology, or opinion as scientific, technical, or other specialized expert evidence, that party—and not EMW Technologies, LLC absent a separate signed engagement—is responsible for satisfying Federal Rule of Evidence 702, Daubert, and any applicable expert-disclosure, qualification, reliability, and methodology requirements. A Rule 902 certificate authenticates only within its stated scope and is not an expert report or opinion on the ultimate issues in a dispute.

2.24 Third-Party Statements and Layered Hearsay

Collection of an outside statement into an EMW record does not convert that outside statement into an EMW firsthand observation or establish its truth. Each embedded statement, linked page, user submission, automated summary, source record, and analytical conclusion may require an independent evidentiary basis. EMW Technologies, LLC disclaims any representation that a business-record exception applicable to EMW’s act of collection resolves hearsay or authentication issues concerning the underlying third-party content or its author.

2.25 No Duty to Testify; Legal Process and Costs

No purchase, subscription, report, account, or use of the Platform entitles a user or third party to testimony, deposition, affidavit, declaration, expert services, custodian services, forensic examination, customized export, expedited preservation, discovery assistance, or appearance by EMW Technologies, LLC personnel. Such services require EMW Technologies, LLC’s prior written acceptance and may be subject to reasonable fees, retainers, scheduling, counsel involvement, travel costs, and reimbursement of expenses, except where controlling law or valid compulsory process provides otherwise. EMW Technologies, LLC reserves all rights and objections concerning subpoenas, jurisdiction, burden, confidentiality, privilege, trade secrets, proportionality, privacy, security, and scope.

2.26 User Representations for Investigative and Threat-Research Use

Users must distinguish observed facts from allegations, hypotheses, inferences, and opinions; preserve source context; avoid knowingly false or misleading submissions; comply with privacy, cybersecurity, surveillance, computer-access, sanctions, export-control, defamation, intellectual-property, and records laws; and refrain from interference, unauthorized access, credential use, impersonation, doxxing, harassment, retaliation, vigilantism, or attempts to exploit a suspected vulnerability. The Platform is not an emergency service. Imminent threats to life or safety should be reported to appropriate emergency authorities, and suspected crimes, national-security matters, vulnerabilities, or official complaints should be reported through the legally appropriate channel.

Module 3: Accounts, Memberships, Subscriptions & Customer Dashboard

3.1 Customer Accounts

Access to the Platform and its various features, products, and services may require the creation of one or more Customer Accounts (“Accounts”). EMW Technologies, LLC may require Account creation before you can access any Platform feature, including but not limited to dashboards, subscriptions, memberships, partner portals, affiliate dashboards, Academy records, reporting, monitoring, and future services.

One individual or organization may possess multiple Account types (e.g., a Customer Account, a Partner Account, an Affiliate Account, and an Academy Account) simultaneously. Account access and privileges may change over time as Platform features evolve, and EMW Technologies, LLC reserves the right to modify, merge, or consolidate Account types at any time.

3.2 Registration Requirements

To register for an Account, you must provide accurate, current, and complete information as requested by EMW Technologies, LLC. You are solely responsible for maintaining the accuracy and completeness of your registration information and for updating it promptly whenever changes occur. EMW Technologies, LLC may reject any registration for any reason or no reason, at its sole discretion.

You represent and warrant that all information you provide during registration is truthful, accurate, and not misleading. If you are registering on behalf of a business, organization, or other entity, you represent that you have the authority to bind that entity to these Terms.

3.3 Account Security

You are solely responsible for safeguarding your Account credentials, including passwords, API keys, authentication tokens, and any other access credentials. You are fully responsible for all activities that occur under your Account, whether or not authorized by you. You agree to immediately notify EMW Technologies, LLC at [email protected] of any unauthorized use of your Account or any other security breach.

EMW Technologies, LLC shall have no liability for any loss or damage arising from your failure to comply with these security obligations. You may be held liable for losses incurred by EMW Technologies, LLC or any other party due to unauthorized use of your Account.

3.4 Authentication

EMW Technologies, LLC may require various authentication methods to access the Platform, including but not limited to password authentication, Google login, social login, single sign‑on, multi‑factor authentication, passkeys, email verification, telephone verification, and future identity verification systems. EMW Technologies, LLC may require additional authentication at any time, with or without notice, and may modify, add, or remove authentication methods at its sole discretion.

You consent to the collection and use of authentication data as necessary to verify your identity and protect the security of the Platform.

3.5 Customer Dashboard™

The Customer Dashboard™ is a user‑facing interface that provides access to your visibility data, scores, reports, monitoring, subscriptions, memberships, and other Platform features. Dashboard features may change without notice, and EMW Technologies, LLC may add, remove, or modify dashboard functionality at any time. Information displayed on the dashboard is informational only and should not be relied upon as the sole basis for any business decision. Historical information may remain available indefinitely, but EMW Technologies, LLC has no obligation to retain any specific data.

3.6 Memberships

EMW Technologies, LLC offers various membership tiers, including but not limited to free memberships, paid memberships, premium memberships, Academy memberships, and future membership programs. Membership benefits, features, levels, and names may change at any time without requiring amendments to these Terms. Membership does not confer any ownership interest in the Platform or any of its components.

EMW Technologies, LLC may modify, discontinue, or replace any membership tier at its sole discretion. Continued use of the Platform after any membership changes constitutes acceptance of those changes.

3.7 Subscriptions

Subscriptions provide access to recurring Platform services, including but not limited to monthly subscriptions, annual subscriptions, and future billing plans. Subscriptions are licenses to access Platform services; no ownership rights are transferred to you. EMW Technologies, LLC may modify subscription offerings, pricing, features, or availability at any time. Subscription access ends upon cancellation or termination, and no refunds or credits shall be issued except as expressly provided in Module 6.

All subscription fees and payment terms are governed by Module 6 — Payments, Refunds, Chargebacks & Dispute Resolution.

3.8 Business Accounts

Business Accounts include individual accounts, business accounts, organization accounts, agency accounts, government accounts, and nonprofit accounts. If you create an Account on behalf of an entity, you represent that you have the authority to bind that entity to these Terms. The entity is responsible for all actions taken by its users, employees, agents, and representatives under the Account. EMW Technologies, LLC may require documentation verifying your authority to act on behalf of the entity.

3.9 Affiliate Accounts

Affiliate Accounts are created through the EMW Affiliate Program. Participation in the Affiliate Program is discretionary and may be granted, denied, suspended, or terminated at EMW Technologies, LLC’s sole discretion. Affiliate Accounts may provide access to dashboards, commission tracking, and promotional materials. Affiliate status may be revoked for any reason, including but not limited to violation of these Terms, fraud, or at EMW Technologies, LLC’s sole discretion.

Future Affiliate Program rules, terms, and conditions may apply and shall become effective upon posting.

3.10 Partner Accounts

Partner Accounts are created through the EMW Partner Program, including Certified Partners and future partner programs. Partner status may be granted, denied, suspended, revoked, modified, or discontinued at EMW Technologies, LLC’s sole discretion. Partner Accounts may provide access to specialized dashboards, tools, resources, and co‑marketing opportunities. Partner status does not confer any ownership interest in the Platform or any intellectual property.

3.11 Academy Accounts

Academy Accounts provide access to the EMW Academy, including courses, certificates, learning records, and future educational services. Course availability may change, certificates may be revoked, training requirements may change, and curriculum may evolve at any time. Certificates are issued at EMW Technologies, LLC’s discretion and do not constitute accreditation, licensing, or professional certification unless expressly stated.

3.12 Username Policy

EMW Technologies, LLC owns all Platform usernames. Users receive only a revocable permission to use usernames in connection with their Accounts. EMW Technologies, LLC may, at any time and without notice:

• change, recover, remove, or reassign usernames;
• prohibit usernames that are misleading, infringe trademarks, impersonate others, or violate these Terms;
• or take any other action deemed necessary to protect the Platform’s integrity.

You have no property right in any username, and you shall not transfer or sell any username.

3.13 Account Suspension

EMW Technologies, LLC may suspend your Account immediately, with or without prior notice, for any reason, including but not limited to:

• suspected or actual fraud, abuse, or misuse of the Platform;
• spam, phishing, or other malicious activities;
• security concerns or unauthorized access;
• payment issues, including chargebacks or declined payments;
• false, inaccurate, or misleading information;
• violation of these Terms or any applicable law;
• legal compliance, government requests, or court orders;
• risk management or protection of Platform integrity;
• or any other reason determined by EMW Technologies, LLC in its sole discretion.

Suspension may result in loss of access to dashboards, reports, subscriptions, memberships, certifications, partner status, affiliate status, and any other Platform features.

3.14 Account Termination

EMW Technologies, LLC may terminate your Account at any time, with or without cause, and with or without notice. Upon termination, all rights granted to you under these Terms shall immediately cease. Termination may include loss of access to all Platform services, subscriptions, memberships, certifications, dashboards, partner status, affiliate status, and any other Platform features.

Account termination does not affect any payment obligations that accrued prior to termination, nor does it affect any provisions of these Terms that expressly survive termination. EMW Technologies, LLC shall have no obligation to retain any data, content, or information after termination.

3.15 Inactive Accounts

EMW Technologies, LLC may archive, disable, merge, delete, or recover inactive Accounts at its sole discretion. Historical records associated with inactive Accounts may be retained indefinitely in accordance with EMW Technologies, LLC’s data retention policies. You have no right to reactivation of any Account after it has been archived or deleted.

3.16 Identity Verification

EMW Technologies, LLC may require you to provide government identification, business documentation, proof of authority, proof of ownership, telephone verification, email verification, address verification, or any additional documentation deemed necessary to verify your identity or authority. Failure to provide requested verification in a timely manner may result in suspension or termination of your Account.

You consent to EMW Technologies, LLC using third‑party identity verification services to confirm your identity and authority.

3.17 Electronic Communications

By creating an Account and using the Platform, you consent to receive all communications, notices, legal documents, security notices, service announcements, billing notices, policy updates, and other information from EMW Technologies, LLC electronically. Electronic communications may be sent via email to the address associated with your Account, via dashboard notifications, or through other electronic means. You agree that all such electronic communications satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law.

3.18 Electronic Records & Signatures

You agree that:

• electronic acceptance of these Terms constitutes a legally binding acceptance;
• electronic signatures (including clicking “I agree” or similar mechanisms) are valid and enforceable;
• electronic records may be retained indefinitely by EMW Technologies, LLC;
• you waive any objection based solely upon the electronic execution or electronic retention of these Terms.

3.19 Security Monitoring

EMW Technologies, LLC may monitor Account activity to protect the security and integrity of the Platform. Monitoring may include, but is not limited to:

• fraud detection and abuse detection;
• review of login activity, access logs, and security events;
• automated security systems and anomaly detection;
• review of usage patterns and suspicious behavior.

You consent to such monitoring and agree that EMW Technologies, LLC may take any action it deems necessary to protect the Platform, its users, and its partners.

3.20 Future Account Features

All future authentication systems, account features, dashboards, identity systems, membership systems, subscription systems, customer portals, partner portals, affiliate portals, Academy systems, and successor or replacement technologies shall automatically become governed by these Terms unless EMW Technologies, LLC expressly states otherwise. Your continued use of the Platform after the introduction of any future Account feature constitutes your acceptance of these Terms as applied to that feature.

Module 4: Press Releases, Publishing & Editorial Services

4.1 Editorial Services

EMW Technologies, LLC operates as an independent publisher exercising independent editorial judgment. Publishing services include, but are not limited to, press releases, news articles, editorial features, interviews, Business Profiles™, Business Registry™, company pages, educational content, announcements, media resources, and all future publishing formats and technologies.

4.2 Press Release Submission

Users may submit content to EMW Technologies, LLC for editorial consideration. Submission does NOT guarantee publication, review, editing, acceptance, distribution, or any specific publication timing. Submissions may be rejected for any reason or no reason, at EMW Technologies, LLC’s sole discretion.

EMW Technologies, LLC may, at its sole discretion, return, reject, or archive any submission without explanation. All submissions are received subject to these Terms, and no publication commitment arises from submission.

4.3 Editorial Review

EMW Technologies, LLC may, at its sole discretion:

• accept, reject, edit, rewrite, shorten, expand, reformat, retitle, summarize, correct, update, combine, split, schedule, delay, withdraw, archive, or permanently decline publication;
• modify headlines, bylines, categories, tags, and metadata;
• make any editorial changes deemed appropriate;
• or take no action.

No explanation is required for any editorial decision. EMW Technologies, LLC may apply editorial guidelines, quality criteria, formatting requirements, and style guidelines at its sole discretion, and these may change without notice.

4.4 Editorial Independence

EMW Technologies, LLC maintains complete editorial independence. Customers and users cannot require specific publication, placement, headline wording, category placement, featured status, homepage placement, publication date, editorial opinion, editorial tone, editorial conclusions, or any other editorial outcome. EMW Technologies, LLC does not accept payment for editorial content or coverage; all editorial decisions are made solely based on EMW Technologies, LLC’s editorial judgment.

4.5 AI-Assisted Publishing

EMW Technologies, LLC may use artificial intelligence (AI) and automated systems in connection with publishing services, including but not limited to AI-assisted editing, writing, summaries, categorization, SEO optimization, headline generation, translation, tagging, and future AI publishing systems. Human review may or may not occur for AI‑generated outputs. EMW Technologies, LLC is not liable for decisions, outputs, or actions taken by AI-assisted publishing systems.

4.6 Business Profiles™ & Registry Publishing

Business Profiles™, Business Registry™ entries, Business Visibility Reports™, Business Visibility Scores™, Snapshots™, verification status, and historical records may be published, created automatically, updated automatically, merged, split, archived, corrected, removed, restored, or regenerated at EMW Technologies, LLC’s sole discretion. Profiles may be created from lawfully obtained public information without notice to the business.

Publication of a Business Profile does not constitute endorsement of any business, product, service, or statement contained therein. EMW Technologies, LLC is not responsible for the accuracy of third‑party information used in profile creation.

4.7 User Content License

4.8 User Representations

By submitting content, you represent and warrant that:

• you possess all rights necessary to submit and license the content;
• the content is lawful, accurate to your knowledge, and does not infringe any intellectual property, privacy, or publicity rights;
• you have obtained all necessary permissions and releases;
• the content does not contain defamatory, fraudulent, or unlawful material;
• the content is not misleading or deceptive;
• the content complies with all applicable laws and regulations.

4.9 Prohibited Publishing Content

The following content is prohibited from submission and publication:

• fraudulent, deceptive, or misleading content;
• malware, viruses, or malicious code;
• defamatory, libelous, or harassing content;
• content promoting illegal products, terrorism, hate speech, or violence;
• content infringing copyright, trademark, or other intellectual property rights;
• spam, phishing, or similar malicious content;
• privacy violations and impersonation;
• any content that EMW Technologies, LLC, in its sole discretion, determines inappropriate.

EMW Technologies, LLC retains sole discretion to determine whether content falls within prohibited categories.

4.10 Distribution & Syndication

EMW Technologies, LLC may distribute content through publisher networks, media partners, RSS, APIs, search engines, AI systems, news aggregators, and future distribution technologies. Distribution is discretionary and may occur or not occur without notice. Third‑party syndicators, search engines, AI platforms, and other recipients determine independently whether to display, index, cache, or remove content.

4.11 Search Engines & AI Platforms

EMW Technologies, LLC has no control over Google, Bing, Yahoo, DuckDuckGo, ChatGPT, Gemini, Claude, Grok, DeepSeek, Copilot, Perplexity, Apple Intelligence, or any successor or replacement technologies. EMW Technologies, LLC does not guarantee indexing, rankings, citations, AI inclusion, visibility, discoverability, or persistence of any content by any search engine or AI platform. These third‑party systems may change their algorithms, policies, or availability at any time without notice.

4.12 Publication Timing

Publication times and schedules are estimates only. EMW Technologies, LLC may delay, reschedule, pause, or permanently cancel publication at any time. No guaranteed turnaround or publication date exists unless expressly stated in writing by EMW Technologies, LLC.

4.13 Corrections & Updates

EMW Technologies, LLC may correct, edit, update, modify, replace, remove, reclassify, or archive published material at any time, with or without notice. Users are not entitled to corrections, and correction requests may be denied. EMW Technologies, LLC has no obligation to inform users of changes to published content.

4.14 Removal Policy

EMW Technologies, LLC has no obligation to remove published content. Content may remain permanently archived. Removal requests may be denied. Administrative removal fees may apply as set forth in Module 6 — Payments, Refunds, Chargebacks & Dispute Resolution. Historical archives may be retained indefinitely.

4.15 Editorial Archives

EMW Technologies, LLC may permanently retain articles, press releases, profiles, registry records, historical scores, historical monitoring, verification history, publication history, metadata, URLs, redirects, and future archival records. Archives may remain publicly accessible. EMW Technologies, LLC has no obligation to delete, remove, or restrict access to archival content.

4.16 No Publisher Liability

4.17 Future Publishing Services

These Terms automatically govern all future publishing platforms, newsrooms, editorial systems, distribution systems, AI publishing, media technologies, podcasts, video publishing, live events, press portals, wire services, and all successor or replacement publishing technologies. Your continued use of the Platform after the introduction of any future publishing service constitutes your acceptance of these Terms as applied to that service.

Module 5: Content, Intellectual Property & Artificial Intelligence

5.1 Intellectual Property Ownership

Applicable intellectual property relating to the Platform is owned by EMW MEDIA Trust and licensed to EMW Technologies, LLC. EMW Technologies, LLC operates and provides the Platform under that license and is authorized to grant the limited user rights expressly described in these Terms. This includes, but is not limited to:

• software, source code, object code, databases, APIs, platform architecture, UI/UX, dashboards, and reports;
• Business Profiles™, Business Registry™, Business Visibility Reports™, Business Visibility Scores™, Snapshots™, Monitoring™, Discovery Engine™, Feed Discovery™, Historical Discovery™, Business Intelligence Resolver™, and AI Discoverability™;
• all documentation, graphics, templates, educational materials, training materials, and future technologies;
• all methodologies, algorithms, weighting systems, heuristics, resolver logic, confidence calculations, ranking methods, visibility methodologies, AI systems, machine learning models, feature engineering, data normalization, identity resolution, scoring formulas, analytics, and business rules.

5.2 Limited License

Subject to your compliance with these Terms, EMW Technologies, LLC grants you a limited, revocable, non‑exclusive, non‑transferable, non‑sublicensable license to access and use the Platform solely for your internal business purposes in accordance with these Terms. No ownership rights are transferred. This license does not permit any commercial use of the Platform or any Platform outputs beyond the scope expressly authorized by EMW Technologies, LLC.

5.3 Trademarks

EMW MEDIA Trust owns all rights in and to its trademarks, service marks, logos, trade dress, domain names, product names, taglines, and branding, including but not limited to:

• EMWNews, The Business Visibility Company™, Business Visibility™, Business Visibility Platform™, Business Visibility Score™, Business Visibility Report™, Business Visibility Snapshot™, Business Visibility Monitoring™, EMW Verified™, Business Registry™, Business Profile™, Discovery Engine™, Historical Discovery™, Feed Discovery™, Business Intelligence Resolver™, and AI Discoverability™;
• all logos, service marks, trade dress, domain names, product names, taglines, and future brands.

Unauthorized use of any EMW trademark is strictly prohibited. You may not use any EMW trademark in any manner that is likely to cause confusion, dilute the mark, or imply endorsement or affiliation without EMW Technologies, LLC’s prior written consent.

5.4 Copyright

All Platform content, including but not limited to articles, press releases, graphics, reports, photographs, videos, training materials, software, databases, and future works, is protected by copyright law and is the exclusive property of EMW MEDIA Trust or its licensors. Unauthorized reproduction, distribution, display, or creation of derivative works is prohibited. You may not remove, obscure, or alter any copyright notice or other proprietary notice on the Platform.

5.5 Trade Secrets

EMW MEDIA Trust owns valuable proprietary trade secrets, including but not limited to its algorithms, weighting systems, heuristics, resolver logic, confidence calculations, ranking methods, visibility methodologies, AI systems, machine learning models, feature engineering, data normalization, identity resolution, scoring formulas, analytics, business rules, and all future methodologies. You agree not to disclose, reverse engineer, or use any EMW trade secret for any purpose other than as expressly permitted by these Terms.

5.6 Artificial Intelligence

EMW MEDIA Trust owns all AI systems, machine learning models, large language models (LLMs), recommendation engines, classification systems, automation tools, and future AI technologies used in the Platform. AI outputs remain part of the Platform and are owned by EMW MEDIA Trust. You acquire no ownership interest in any underlying AI technology, model, or system. AI systems may evolve continuously, and EMW Technologies, LLC may modify, replace, or discontinue any AI feature without notice.

5.7 Reports & Analytics

Business Visibility Reports™, Business Visibility Scores™, Business Visibility Snapshots™, analytics, recommendations, dashboards, classifications, confidence scores, rankings, evaluations, monitoring outputs, and all derived analytics are proprietary works of EMW MEDIA Trust. You may rely on reports for internal business purposes only. You may not commercialize, resell, redistribute, license, or create competing services based on any Platform report, score, or analytics output without EMW Technologies, LLC’s prior written consent.

5.8 User Content

You retain ownership of content you lawfully submit to the Platform, subject to the licenses granted to EMW Technologies, LLC under these Terms. However, EMW MEDIA Trust owns all editorial enhancements, metadata, categorization, scores, analysis, Business Profiles, derived data, AI enhancements, annotations, classifications, and recommendations created or generated by the Platform. EMW MEDIA Trust’s ownership of these elements is independent of your ownership of underlying content.

5.9 Feedback

Any feedback, suggestions, ideas, feature requests, recommendations, or bug reports you provide to EMW Technologies, LLC become the permanent, unrestricted property of EMW Technologies, LLC. EMW Technologies, LLC may use such feedback without restriction and without any compensation to you. You waive any moral rights or other rights in any feedback provided to EMW Technologies, LLC.

5.10 Reverse Engineering

You may not, directly or indirectly:

• reverse engineer, decompile, disassemble, scrape, data mine, or benchmark the Platform;
• copy, extract, or replicate any methodology, algorithm, model, dataset, or trade secret;
• use Platform outputs to recreate or replicate Platform functionality;
• automate harvesting or extraction of data from the Platform;
• train any AI model or machine learning system using Platform outputs;
• build or develop any product or service that competes with the Platform based on Platform outputs.

Any violation of this provision is a material breach of these Terms and may result in immediate termination and legal action.

5.11 Open Source

Certain Platform components may incorporate third‑party open‑source software. Applicable third‑party licenses continue to govern those components. Nothing in these Terms grants you any ownership interest in EMW proprietary software, and nothing in any open‑source license shall be construed to grant you any rights to EMW proprietary software beyond the rights expressly granted in these Terms.

5.12 Third‑Party Intellectual Property

Certain trademarks, logos, names, software, APIs, search engines, AI systems, and publisher names belong to their respective owners. EMW Technologies, LLC’s use of third‑party intellectual property does not imply endorsement, affiliation, or sponsorship. All rights in third‑party intellectual property remain with their respective owners.

5.13 DMCA / Copyright Complaints

EMW Technologies, LLC respects the intellectual property rights of others. If you believe that your copyrighted work has been used on the Platform in a manner that constitutes copyright infringement, please provide a written notice to EMW Technologies, LLC’s designated agent containing the information required by the Digital Millennium Copyright Act (DMCA) and applicable law. EMW Technologies, LLC may remove allegedly infringing content and may terminate the accounts of repeat infringers. EMW Technologies, LLC has no obligation to restore removed material.

5.14 Reservation of Rights

EMW MEDIA Trust and EMW Technologies, LLC expressly reserve all rights not expressly granted in these Terms. No implied license is granted by EMW Technologies, LLC, and no waiver occurs through silence or failure to enforce any right. You have no right to use any EMW intellectual property beyond the limited license expressly provided in these Terms.

5.15 Future Intellectual Property

All future software, AI systems, algorithms, reports, products, services, platforms, technologies, methodologies, systems, brands, databases, interfaces, and successor or replacement technologies shall automatically become governed by these Terms. Your continued use of the Platform after the introduction of any future intellectual property constitutes your acceptance of these Terms as applied to that intellectual property.

Module 6: Payments, Refunds, Chargebacks & Dispute Resolution

6.1 Pricing & Payments

All fees, pricing, and charges for Platform services are set forth at the time of purchase and may be published on the EMW website or provided in a quote, invoice, or order confirmation. EMW Technologies, LLC may offer custom pricing, promotional pricing, discounts, or introductory offers that may expire or be modified at any time. All fees are exclusive of applicable taxes, duties, and government charges unless expressly stated otherwise.

You authorize EMW Technologies, LLC to charge your selected payment method for all fees, subscriptions, add‑ons, administrative fees, and other charges incurred through your account. Prices may change prospectively, and such changes are effective upon posting. Your continued use of the Platform after a price change constitutes acceptance of the new pricing.

6.2 Payment Methods

EMW Technologies, LLC accepts payment via credit cards, debit cards, bank transfer, cryptocurrency, and such other payment methods as EMW Technologies, LLC may designate from time to time. Payment processors operate independently, and EMW Technologies, LLC is not responsible for processor failures, declines, delays, or errors. You bear sole responsibility for providing accurate payment information and for any fees, charges, or penalties imposed by your payment provider.

6.3 Cryptocurrency Payments

EMW Technologies, LLC accepts payment in Bitcoin, USDT, USDC, and such other digital assets as EMW Technologies, LLC may designate from time to time. Cryptocurrency transactions are generally irreversible once confirmed on the applicable blockchain network. You bear sole responsibility for wallet address accuracy, network selection, transaction fees, and confirmation delays. EMW Technologies, LLC shall have no liability for payments sent to incorrect addresses, networks, or amounts.

Cryptocurrency payment amounts are denominated in the digital asset at the time of payment. EMW Technologies, LLC is not responsible for exchange rate fluctuations, volatility, or any loss arising from cryptocurrency price changes.

6.4 Memberships & Subscriptions

Subscriptions and memberships provide recurring access to Platform services. All subscriptions automatically renew at the end of each billing cycle unless cancelled by you prior to the renewal date. You authorize EMW Technologies, LLC to charge your payment method for each renewal period at the then‑current rate.

You may upgrade, downgrade, or cancel your subscription through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds or credits are issued for unused time. EMW Technologies, LLC may suspend access to subscriptions, memberships, dashboards, reports, monitoring, and profiles upon payment failure, and may terminate accounts for continued non‑payment. Cross‑reference Module 3 for additional account provisions.

6.5 Payment Failure

If any payment fails, is declined, or is reversed, EMW Technologies, LLC may, without notice, suspend or terminate your access to the Platform, including but not limited to accounts, memberships, subscriptions, dashboards, reports, Business Visibility Monitoring™, Business Profiles™, and future services. You remain liable for all unpaid amounts. EMW Technologies, LLC may use third‑party collection services to recover outstanding balances, and you shall be responsible for all collection costs to the fullest extent permitted by applicable law.

6.6 All Sales Final

6.7 No Guarantee of Results

6.8 Removal Requests

EMW Technologies, LLC has no obligation to remove published content. If EMW Technologies, LLC approves a removal request, administrative fees may apply. Removal does not require removal from third‑party platforms, including Google, AI systems, search engines, syndication partners, archives, or third‑party caches. You acknowledge that content may persist indefinitely on third‑party services beyond EMW Technologies, LLC’s control.

6.9 Chargebacks

Unauthorized chargebacks, payment disputes, reversals, or similar actions constitute a material breach of these Terms. You remain liable for the original purchase amount, all processor fees, bank penalties, collection costs, reasonable attorneys’ fees (where permitted), administrative expenses, and liquidated damages as set forth in Section 6.10. Chargebacks are not a dispute resolution mechanism, and you agree not to use them as such.

EMW Technologies, LLC may, at its sole discretion, suspend or terminate your account upon any chargeback and may refer the matter to collections and arbitration.

6.10 Liquidated Damages

Liquidated Damages Formula. If you initiate a chargeback, payment dispute, reversal, or similar action against any payment made to EMW Technologies, LLC, you automatically agree to pay EMW Technologies, LLC liquidated damages in the following amount:

• The greater of: (a) ten times (10x) the original transaction amount, OR (b) ten times (10x) the standard $250 removal fee ($2,500), whichever is higher.

Example: If you purchased a $4,000 package and initiate a chargeback, liquidated damages shall be $40,000 (10 x $4,000). If you purchased a $59 subscription and initiate a chargeback, liquidated damages shall be $2,500 (10 x $250), as this is greater than 10 x $59 ($590).

Reasonableness. You acknowledge that liquidated damages under this Section are not a penalty, but a reasonable estimate of the actual damages EMW Technologies, LLC suffers from chargebacks, including payment processor penalties, fraud investigations, operational disruption, administrative costs, reputation impacts, customer service, legal review, and other direct and indirect damages. The 10x formula is commercially reasonable, and you waive any claim that the liquidated damages are unconscionable, excessive, or punitive.

6.11 Collections

Unpaid balances may be referred to collection agencies, law firms, credit reporting agencies (where legally permitted), judgment enforcement, and international recovery services. You shall be responsible for all reasonable costs of collection, including but not limited to collection agency fees, legal fees, court costs, and any other expenses incurred by EMW Technologies, LLC in recovering amounts due.

6.12 Taxes

You are responsible for all applicable taxes, duties, government charges, and withholding taxes related to your purchase, including but not limited to VAT, GST, sales tax, import duties, and any other taxes imposed by any jurisdiction, unless EMW Technologies, LLC expressly states otherwise. EMW Technologies, LLC may collect taxes where required by applicable law.

6.13 Dispute Resolution

Before initiating any arbitration or legal proceeding, you agree to contact EMW Technologies, LLC at [email protected] to seek an informal resolution. EMW Technologies, LLC shall have a reasonable opportunity to resolve the dispute informally. Failure to comply with this pre‑dispute requirement may result in dismissal or other sanctions.

6.14 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any EMW service shall be resolved exclusively through binding individual arbitration administered by JAMS under its U.S. commercial arbitration rules, seated in [INSERT U.S. ARBITRATION CITY AND STATE]. The arbitration shall be conducted in English before a single arbitrator. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Commercial Use Acknowledgment. You acknowledge that you are using EMW Technologies, LLC for commercial or business purposes, not as a consumer for personal, family, or household use, and therefore consumer protection laws regarding arbitration costs shall not apply to the fullest extent permitted by law.

Costs. You shall bear 100% of all arbitration costs, including JAMS fees, arbitrator fees, hearing expenses, and administrative charges, unless applicable law specifically prohibits such cost‑shifting. You also reimburse EMW Technologies, LLC for its internal costs (valued at $250 per hour) incurred in preparing for or participating in arbitration.

6.15 Class Action Waiver

You and EMW Technologies, LLC agree that any arbitration or proceeding shall be limited to the individual claim between the parties. You expressly waive any right to participate in any class action, class arbitration, collective action, or representative proceeding against EMW Technologies, LLC. No dispute shall be consolidated with any other dispute.

6.16 Jury Trial Waiver

To the fullest extent permitted by applicable law, you and EMW Technologies, LLC expressly waive any right to a trial by jury in any legal proceeding arising out of or relating to these Terms or the Platform.

6.17 Limitation Period

To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms or the Platform must be brought within twelve (12) months after the claim arises, or such claim shall be permanently barred. This limitation period applies to all claims, regardless of theory, and is expressly agreed by the parties.

6.18 Survival

The following provisions shall survive termination of these Terms and your Account: payment obligations, chargeback provisions, liquidated damages, collections, intellectual property rights, confidentiality, licenses, arbitration, governing law, limitation of liability, and any other provisions that by their nature are intended to survive.

6.19 Future Commercial Services

These Terms automatically govern all future software, AI systems, reports, subscriptions, marketplaces, Business Visibility services, consulting, APIs, enterprise products, and all successor or replacement commercial offerings. Your continued use of any future commercial service constitutes your acceptance of these Terms as applied to that service.

Module 7: Platform Integrity, Acceptable Use, Security, Fraud Prevention & Abuse

7.1 Acceptable Use

Users may use the Platform only for lawful, legitimate personal or internal business purposes, in full compliance with these Terms, and without causing harm to EMW Technologies, LLC, other users, publishers, affiliates, partners, or Platform integrity. EMW Technologies, LLC has sole and absolute discretion to determine whether any use of the Platform is acceptable. Any use that EMW Technologies, LLC, in its sole judgment, determines to be harmful, abusive, fraudulent, deceptive, or otherwise detrimental to the Platform or its ecosystem is strictly prohibited. EMW Technologies, LLC may, without prior notice where reasonably necessary to protect the Platform, modify Platform functionality, modify security controls, modify fraud detection, modify AI systems, modify Business Visibility methodologies, modify scoring methodologies, disable features, throttle usage, impose rate limits, require CAPTCHA, require multi-factor authentication, require identity verification, deploy emergency security measures, or temporarily suspend services.

7.2 Prohibited Conduct

The following conduct is strictly prohibited. EMW Technologies, LLC has sole discretion to determine whether any conduct violates this Section.

7.3 Automated Access

Automated access to the Platform is strictly prohibited without prior written authorization from EMW Technologies, LLC. Prohibited automated access includes, but is not limited to, bots, crawlers, spiders, scrapers, scripts, automation platforms, browser automation, robotic process automation, autonomous agents, AI agents, LLM agents, MCP clients, APIs (except as expressly authorized), automated submissions, automated monitoring, automated reporting, automated Business Profile creation, automated account creation, and automated score collection.

Commercial automated access is prohibited regardless of intent, unless expressly licensed in writing by EMW Technologies, LLC. Any attempt to circumvent or evade automated access restrictions is a material breach of these Terms.

7.4 Scraping & Data Harvesting

Scraping, extraction, harvesting, copying, indexing, mirroring, aggregation, compilation, republication, redistribution, or creation of derivative datasets or databases based on Platform content is strictly prohibited. This prohibition applies to all Platform outputs, including but not limited to Reports™, Scores™, Registry™, Business Profiles™, AI outputs, Monitoring™, Dashboards, APIs, metadata, structured data, and future Platform outputs.

7.5 Competitive Use

Competitive use of the Platform is strictly prohibited. Prohibited competitive use includes, but is not limited to, benchmarking, competitive analysis, product comparison for competitive purposes, reverse engineering, replication, cloning, feature copying, commercial intelligence gathering, creation of competing products, creation of competing databases, and recreation of Business Visibility methodologies.

You may not use the Platform to develop, enhance, or improve any product or service that competes with EMW Technologies, LLC.

7.6 Artificial Intelligence Abuse

Abuse of EMW AI systems is strictly prohibited. Prohibited AI abuse includes, but is not limited to:

• prompt injection, jailbreak attempts, prompt extraction, prompt replay, prompt farming, and system prompt discovery;
• context poisoning, adversarial prompting, model fingerprinting, and model inversion;
• data extraction attacks, context manipulation, and automated prompt harvesting;
• token abuse and any future AI attack techniques;
• model evaluation for competitive purposes;
• AI training using Platform content or Platform outputs;
• machine learning using Platform outputs;
• reproducing EMW AI functionality in any manner.

7.7 Security Obligations

Users are obligated to:

• protect all credentials, authentication devices, and API credentials;
• immediately report suspected compromise or unauthorized access;
• cooperate fully with EMW Technologies, LLC investigations;
• maintain reasonable security practices in their own systems and networks;
• implement appropriate safeguards against unauthorized access to their accounts.

Failure to comply with these security obligations may result in suspension or termination of your account.

7.8 Fraud Prevention

Fraud is defined broadly and includes, but is not limited to, payment fraud, affiliate fraud, referral fraud, verification fraud, account fraud, Business Profile fraud, identity fraud, billing fraud, content fraud, review fraud, AI fraud, impersonation, deception, synthetic identity abuse, account farming, affiliate account networks, synthetic traffic, click manipulation, engagement manipulation, referral laundering, Business Profile fraud, Registry fraud, verification fraud, and synthetic authority.

EMW Technologies, LLC may use any lawful means to detect, prevent, and respond to fraud. Users suspected of engaging in fraudulent activity may have their accounts suspended or terminated immediately, and EMW Technologies, LLC may refer matters to law enforcement and payment processors.

7.9 Reporting Obligations

Users must promptly report to EMW Technologies, LLC any known or suspected:

• security incidents or unauthorized access;
• fraud, suspicious activity, or policy violations;
• phishing attempts or impersonation;
• vulnerabilities in the Platform;
• any other conduct that may threaten Platform integrity.

Reports should be sent to [email protected] or through the appropriate reporting mechanism provided by EMW Technologies, LLC.

7.10 Security Monitoring

EMW Technologies, LLC may monitor all Platform activity, review logs, analyze behavior, detect fraud and abuse, use machine learning, behavioral analytics, IP reputation, device fingerprinting, honeypots, deception systems, automated investigations, and future security technologies. Monitoring may occur without notice to the extent permitted by applicable law.

You consent to such monitoring and agree that EMW Technologies, LLC may take any action it deems necessary to protect the Platform, its users, and its partners.

7.11 Investigation Rights

EMW Technologies, LLC may investigate suspected violations of these Terms. Investigation activities may include, but are not limited to:

• requiring documentation or identity verification;
• requesting proof of ownership or authorization;
• reviewing account activity and Platform usage;
• auditing Platform usage and preserving evidence;
• interviewing users and cooperating with payment processors, publishers, and law enforcement.

Failure to cooperate with an investigation may result in suspension or termination.

7.12 Enforcement

EMW Technologies, LLC may, at its sole discretion and without prior notice, take any of the following actions before, during, or after any investigation:

• warn, restrict, suspend, or terminate accounts;
• block IP addresses, domains, devices, and payment methods;
• revoke verification, remove content, remove Business Profiles™, and remove Registry records;
• disable APIs and restrict Platform access;
• seek damages, injunctive relief, or any other legal remedy available at law or equity.

Enforcement action may be taken immediately and without prior notice to protect the Platform. EMW Technologies, LLC is not required to complete an investigation before taking protective action, and enforcement actions are independent of any criminal, civil, or regulatory proceeding.

7.13 No Expectation of Privacy

To the fullest extent permitted by applicable law, users have no expectation of privacy regarding Platform usage, security monitoring, access logs, fraud detection, system diagnostics, or any other activity conducted through the Platform. This provision does not override EMW Technologies, LLC’s Privacy Policy or applicable privacy laws, but clarifies that security monitoring and fraud detection are integral to Platform operations.

7.14 Record Retention

EMW Technologies, LLC may retain logs, evidence, audit trails, Business Visibility history, Registry history, investigation files, communications, fraud records, and other operational data for security, legal, compliance, operational, and business purposes. Records may be retained indefinitely at EMW Technologies, LLC’s discretion.

7.15 Law Enforcement & Regulatory Cooperation

EMW Technologies, LLC may preserve evidence, comply with court orders, respond to lawful government requests, cooperate with regulators, cooperate with payment processors, and cooperate with cybersecurity organizations to protect the Platform and comply with legal obligations.

7.16 Future Threats

These Terms automatically apply to future AI systems, autonomous agents, successor AI architectures, decentralized AI, distributed AI, autonomous systems, quantum computing, future authentication systems, future networking technologies, decentralized protocols, distributed inference, future automation, future attack vectors, future security threats, technologies not yet invented, and any other successor or replacement technologies. EMW Technologies, LLC reserves the right to adapt its security and abuse prevention measures to address emerging threats without amending these Terms.

7.17 No Waiver

Failure by EMW Technologies, LLC to detect, investigate, or immediately enforce any violation of these Terms shall not constitute a waiver of EMW Technologies, LLC’s rights, nor shall it constitute permission for any future violation, nor shall it establish any precedent or prevent future enforcement. EMW Technologies, LLC reserves the right to enforce any provision of these Terms at any time, regardless of prior inaction or delay.

8.1 Platform Provided “AS IS”

EMW Technologies, LLC expressly disclaims all warranties, including but not limited to:

• implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
• warranties of accuracy, reliability, availability, compatibility, security, and performance;
• warranties that the Platform will be error-free, uninterrupted, secure, or virus-free;
• warranties that any particular result, outcome, or business success will be achieved.

No oral or written information or advice provided by EMW Technologies, LLC or its representatives shall create any warranty not expressly stated in these Terms. No statement or representation made in sales presentations, demonstrations, webinars, marketing materials, sample reports, estimates, projections, or promotional content shall be deemed a warranty.

8.2 No Professional Advice

8.3 No Reliance

You acknowledge that you have not relied upon, and EMW Technologies, LLC has not made any representation or warranty concerning, any sales presentations, demonstrations, webinars, marketing materials, sample reports, estimates, projections, oral statements, AI outputs, website content, promotional materials, recommendations, business examples, or other information not expressly incorporated into these Terms. You assume full responsibility for all decisions made in connection with your use of the Platform.

8.4 No Guarantee of Business Results

EMW Technologies, LLC does not guarantee, and expressly disclaims any guarantee of, any specific business outcome, including but not limited to:

• revenue, sales, customers, leads, or conversions;
• search engine rankings, Google indexing, or SEO performance;
• AI discoverability, citations, or visibility on any AI platform;
• media coverage, journalist pickup, or news distribution;
• investor interest, fundraising success, or partnerships;
• commercial success, competitive advantage, or market share;
• any other outcome, metric, or performance indicator.

Your use of the Platform is at your own commercial risk. You acknowledge that business outcomes depend on numerous factors outside EMW Technologies, LLC’s control.

8.5 Editorial Disclaimer

EMW Technologies, LLC is an independent publisher exercising independent editorial judgment. All editorial decisions — including acceptance, rejection, editing, formatting, placement, timing, and removal — are within EMW Technologies, LLC’s sole discretion. EMW Technologies, LLC does not guarantee publication of any submitted content, nor does it guarantee specific publication timing, placement, or treatment. Publication does not constitute endorsement of any content, business, product, service, or viewpoint.

8.6 Third-Party Services

The Platform relies on and interacts with third-party services, including but not limited to search engines (Google, Bing, etc.), AI platforms (OpenAI, Anthropic, Meta, etc.), social media platforms, directories, news aggregators, payment processors, hosting providers, cloud providers, and syndication partners. EMW Technologies, LLC has no control over these third-party services.

EMW Technologies, LLC makes no representation or warranty that any third-party service will continue operating, support Platform content, index content, rank content, display content, syndicate content, or expose content through search, AI, or other systems. EMW Technologies, LLC disclaims all responsibility and liability for:

• changes to third-party algorithms, policies, or availability;
• third-party data, including inaccuracies, omissions, or unavailability;
• third-party decisions to index, display, or remove content;
• any outage, interruption, or failure of any third-party service;
• any loss or damage arising from reliance on third-party services.

8.7 Artificial Intelligence

All Business Visibility Scores™, Reports™, Snapshots™, Evaluations™, Monitoring™, Registry™ records, Business Profiles™, and related analytics are based on EMW’s proprietary methodologies, which represent EMW Technologies, LLC’s professional opinions. These outputs are:

• not objective facts, industry standards, or government standards;
• not guarantees of any performance, outcome, or result;
• subject to change, recalculation, correction, or update at any time;
• dependent on data sources that may be inaccurate, incomplete, or unavailable;
• intended as informational and educational tools, not as definitive measures;
• one possible assessment; reasonable professionals, organizations, methodologies, or scoring systems may reach different conclusions regarding the same business.

8.9 Availability

EMW Technologies, LLC does not guarantee uninterrupted access to the Platform, nor does it guarantee that the Platform will be available at any particular time or for any particular duration. The Platform may be unavailable due to scheduled maintenance, unscheduled maintenance, emergency maintenance, third-party failures, internet outages, cloud provider failures, cyberattacks, force majeure events, or any other cause. EMW Technologies, LLC may suspend, restrict, or terminate access at any time without notice.

EMW Technologies, LLC does not warrant the completeness, accuracy, timeliness, currency, or reliability of:

• third-party data, including search engine data, AI platform data, and directory data;
• user-submitted information, including Business Profiles™ and Registry submissions;
• public records, including government and regulatory information;
• AI-generated outputs, including analysis, recommendations, and scores;
• any other data displayed or processed through the Platform.

Users are responsible for independently verifying any information obtained through the Platform.

8.11 User Responsibility

You remain solely responsible for:

• all business decisions and actions taken based on Platform outputs;
• all publication decisions and content submitted to the Platform;
• all marketing, advertising, and promotional activities;
• compliance with all applicable laws, regulations, and industry standards;
• tax obligations, accounting practices, and financial reporting;
• verification of Platform outputs before relying on them;
• any consequences arising from your use of the Platform.

8.12 Assumption of Risk

You knowingly and voluntarily assume all risks associated with using the Platform, including but not limited to:

• commercial risk, including the risk of no return on investment;
• reputational risk, including the risk of negative publicity;
• search engine and AI platform changes beyond EMW Technologies, LLC’s control;
• data inaccuracies, omissions, or delays;
• technical failures, security breaches, or data loss;
• third-party decisions to index, display, or remove content;
• any other risk associated with digital visibility, publishing, or business intelligence.

8.13 Limitation of Liability

This limitation applies regardless of the number of claims, legal theories, remedies sought, or whether claims arise from one or multiple events.

8.14 Liability Cap

To the fullest extent permitted by applicable law, EMW Technologies, LLC’s maximum aggregate liability arising out of or relating to these Terms, the Platform, or any services provided by EMW Technologies, LLC, whether based in contract, tort, strict liability, or any other legal theory, shall not exceed the greater of:

• the total amounts actually paid by you to EMW Technologies, LLC during the twelve (12) months immediately preceding the claim; or
• US $100.

The existence of multiple claims shall not increase this cap. This liability cap applies collectively to EMW Technologies, LLC, its affiliates, officers, directors, employees, licensors, contractors, and service providers, and shall not be multiplied by the number of defendants or claims. The cap applies in the aggregate, regardless of the number of claims, legal theories, remedies sought, or whether claims arise from one or multiple events, and applies even if EMW Technologies, LLC has been advised of the possibility of damages and even if any exclusive remedy fails of its essential purpose.

8.15 Exclusive Remedies

The remedies expressly provided in these Terms, including the limitation of liability and liability cap set forth in Sections 8.13 and 8.14, constitute the exclusive contractual remedies available to you arising out of or relating to these Terms, the Platform, or any services provided by EMW Technologies, LLC. No additional contractual remedies are implied or available, except to the extent applicable law expressly requires a different remedy.

8.16 Force Majeure

EMW Technologies, LLC shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to:

• natural disasters, earthquakes, floods, fires, and severe weather;
• war, terrorism, civil unrest, and military actions;
• cyberattacks, denial-of-service attacks, and security breaches;
• labor disputes, strikes, and shortages of labor or materials;
• government actions, regulations, and legal requirements;
• pandemics, epidemics, and public health emergencies;
• internet outages, telecommunications failures, and power outages;
• software failures, infrastructure failures, DNS failures, certificate authority failures, and CDN failures;
• cloud provider failures, hosting provider failures, and AI provider outages;
• payment processor failures, financial institution failures, and banking system disruptions;
• supplier failures, telecommunications failures, and internet routing failures;
• any other event beyond EMW Technologies, LLC’s reasonable control.

8.17 Future Technologies

All disclaimers, warranty disclaimers, and limitations of liability set forth in this Module automatically apply to all future software, AI systems, autonomous systems, APIs, Business Visibility services, Reports, Scores, Monitoring, dashboards, commercial services, successor technologies, replacement technologies, and technologies not yet invented. The listed examples are illustrative rather than exhaustive. Your continued use of any future technology constitutes acceptance of these disclaimers and limitations.

8.18 Maximum Enforceability

If any disclaimer or limitation of liability set forth in this Module is held by a court of competent jurisdiction to be unenforceable in any particular jurisdiction, it shall be enforced to the maximum extent permitted by applicable law in that jurisdiction. The unenforceability of any provision shall not affect the enforceability of any other provision or in any other jurisdiction. If a provision is unenforceable in its entirety, the court shall substitute a provision that most closely approximates the commercial intent of the parties.

Nothing in this Module excludes or limits any consumer protection rights that cannot lawfully be excluded or limited under applicable law. In such jurisdictions, the disclaimers and limitations shall apply to the maximum extent permitted by law.

8.19 Evidentiary, Investigative, and Legal-Reliance Disclaimer

TO THE FULLEST EXTENT PERMITTED BY LAW, EMW TECHNOLOGIES, LLC MAKES NO WARRANTY THAT ANY REPORT, RECORD, EXPORT, SCREENSHOT, HASH, TIMESTAMP, AUDIT TRAIL, CERTIFICATION, DECLARATION, OR EVIDENCE SUPPORT PACKAGE WILL BE ACCEPTED, AUTHENTICATED, ADMITTED, GIVEN ANY PARTICULAR WEIGHT, OR FOUND RELIABLE BY ANY COURT, TRIBUNAL, AGENCY, INVESTIGATOR, AUDITOR, EXPERT, OR OTHER DECISION MAKER. EMW TECHNOLOGIES, LLC DOES NOT GUARANTEE THAT RECORDS WILL SATISFY FEDERAL RULES OF EVIDENCE 702, 803(6), 901, 902(11), 902(13), OR 902(14), 28 U.S.C. § 1746, DAUBERT, ANY STATE OR FOREIGN EQUIVALENT, OR ANY NOTICE, DISCOVERY, PRESERVATION, CHAIN-OF-CUSTODY, OR PROCEDURAL REQUIREMENT.

EMW TECHNOLOGIES, LLC IS NOT A LAW FIRM, FORENSIC LABORATORY, LAW-ENFORCEMENT AGENCY, INTELLIGENCE AGENCY, GOVERNMENT RECORDS CUSTODIAN, EXPERT-WITNESS FIRM, OR CERTIFICATION AUTHORITY. PLATFORM MATERIAL DOES NOT CREATE probable cause, establish attribution, prove wrongdoing, determine threat status, or substitute for independent investigation and qualified legal, technical, or forensic review. USERS ASSUME ALL RISK ARISING FROM THEIR PRESENTATION, CHARACTERIZATION, DISCLOSURE, OR RELIANCE ON PLATFORM MATERIAL IN ANY DISPUTE, PUBLICATION, COMPLAINT, INVESTIGATION, OR PROCEEDING.

Module 9: General Legal Provisions

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [INSERT GOVERNING STATE], without regard to conflict-of-law principles. This choice of law is made expressly and knowingly, and you waive any argument that the laws of any other jurisdiction should apply. Mandatory consumer protection laws, where applicable and to the extent they cannot legally be waived, remain unaffected.

9.2 Jurisdiction & Venue

Except as otherwise provided in Module 6 (Arbitration), disputes arising out of or relating to these Terms or the Platform shall be resolved exclusively in the courts located in [INSERT EXCLUSIVE COURT VENUE], and you irrevocably consent to the personal jurisdiction of such courts. Emergency equitable relief, injunctions, intellectual property enforcement, or debt collection actions may be pursued in any court of competent jurisdiction, and the filing of such actions shall not waive the applicability of the dispute resolution provisions set forth in these Terms.

9.3 Entire Agreement

These Terms, together with any policies, order forms, or other documents expressly incorporated by reference, constitute the complete and exclusive agreement between the parties regarding the Platform and supersede all prior or contemporaneous proposals, marketing materials, emails, demonstrations, oral statements, negotiations, representations, understandings, and agreements, whether written or oral.

9.4 Order of Precedence

In the event of any conflict or inconsistency among the documents comprising these Terms, the following order of precedence shall apply:

1. a signed written agreement specifically covering the subject matter, if any;
2. an individual Order Form or statement of work, if any;
3. these Terms of Service;
4. the EMW Privacy Policy;
5. published Platform policies and product‑specific terms;
6. marketing materials, which shall not modify these Terms.

Marketing materials are for informational purposes only and do not create any contractual rights or obligations.

9.5 Amendments

EMW Technologies, LLC reserves the right to modify these Terms, Platform policies, rules, methodologies, and services at any time. Revised Terms become effective upon publication on the EMW website or within the Platform, unless a later effective date is specified. EMW Technologies, LLC may provide notice of material changes but is not obligated to do so except where required by applicable law. Your continued use of the Platform after the effective date constitutes your acceptance of the revised Terms, to the fullest extent permitted by applicable law.

9.6 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of EMW Technologies, LLC. EMW Technologies, LLC may assign, transfer, or delegate its rights and obligations under these Terms at any time to affiliates, subsidiaries, successor entities, or in connection with mergers, acquisitions, asset sales, restructurings, recapitalizations, financing transactions, security interests, transfers of substantially all assets, or any other business combination, without restriction or notice.

9.7 Relationship of the Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, employment, franchise, or fiduciary relationship between you and EMW Technologies, LLC. Neither party has the authority to bind the other or to incur any obligation on behalf of the other.

9.8 Third‑Party Beneficiaries

Except as expressly provided in these Terms, there are no third‑party beneficiaries to these Terms. EMW Technologies, LLC affiliates, licensors, contractors, publishers, payment processors, hosting providers, cloud providers, and service providers are intended third‑party beneficiaries of the liability protections and disclaimers set forth in Modules 5 and 8, and may enforce those provisions directly.

9.9 Waiver

Failure by EMW Technologies, LLC to enforce any provision of these Terms shall not constitute a waiver of such provision, nor shall it create any precedent or prevent future enforcement. Any waiver must be in writing and signed by an authorized representative of EMW Technologies, LLC. No course of dealing, custom, delay, usage, or practice shall create any implied waiver or implied rights.

9.10 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be enforced to the maximum extent permitted by applicable law and shall be modified only to the extent necessary to make it enforceable, preserving the commercial intent of the parties to the greatest extent possible.

9.11 Survival

The following provisions shall survive termination of these Terms and your Account: payment obligations, chargeback provisions, liquidated damages, collections, intellectual property rights, confidentiality, licenses granted by you, dispute resolution, arbitration, governing law, limitation of liability, indemnification, disclaimers, record retention, enforcement, fraud investigations, and any other provisions that by their nature are intended to survive.

9.12 Electronic Communications

By using the Platform, you consent to receive all communications, notices, legal documents, updates, invoices, and other information from EMW Technologies, LLC electronically. Electronic communications may be sent via email to the address associated with your account, via customer dashboard notifications, via website notices, via API notifications, or through other electronic means. To the fullest extent permitted by applicable law, all such electronic communications satisfy any legal requirement that such communications be in writing. You are responsible for maintaining a current and accurate email address and contact information on file with EMW Technologies, LLC.

9.13 Electronic Signatures

To the fullest extent permitted by applicable law, electronic acceptance, electronic signatures, clickwrap acceptance, account authentication, digital confirmations, and future electronic execution technologies shall be legally binding and enforceable. You agree that your acceptance of these Terms through electronic means constitutes a legally binding signature.

9.14 Export Controls & Sanctions

You agree to comply with all applicable United States export control laws, trade sanctions, embargoes, and prohibited jurisdiction restrictions, including those administered by the U.S. Department of Commerce, Bureau of Industry and Security, and the U.S. Department of the Treasury, Office of Foreign Assets Control (OFAC), as well as any applicable non-U.S. laws. You represent that you are not located in, and are not a national or resident of, any country subject to comprehensive U.S. trade sanctions. EMW Technologies, LLC may suspend or terminate access to the Platform where necessary to comply with any export control, sanctions, or other legal requirements, including future legal changes.

9.15 Compliance With Laws

You remain solely responsible for complying with all applicable laws, regulations, licensing requirements, advertising rules, privacy laws, and industry standards relating to your use of the Platform, your content, and your business activities. EMW Technologies, LLC makes no representation that the Platform or any content is compliant with any particular legal or regulatory regime.

9.16 Language

The English language version of these Terms shall control in all respects. Any translations are provided for convenience only and shall not affect the interpretation or enforceability of these Terms.

9.17 Headings

Headings and captions are for convenience and reference only and shall not affect the interpretation of these Terms.

9.18 Interpretation

For purposes of these Terms:

• the singular includes the plural and the plural includes the singular;
• “including” means “including without limitation”;
• “or” is not exclusive;
• references to “will” and “shall” are interchangeable and impose obligations;
• references to any agreement, document, or law include future amendments and replacements;
• references to “current and future” and similar phrases are intended to be comprehensive and forward‑looking;
• references to any product, module, service, policy, document, or technology include successor versions unless the context clearly requires otherwise.

9.19 No Construction Against Drafter

These Terms shall not be construed against EMW Technologies, LLC solely because EMW Technologies, LLC drafted them. The parties acknowledge that they have had the opportunity to review these Terms with legal counsel and that any rule of construction requiring ambiguity to be resolved against the drafter shall not apply.

9.20 Force of Future Policies

EMW Technologies, LLC may publish future Platform policies governing AI, security, Business Visibility™, payment, publishing, compliance, operational procedures, technical standards, and other matters. Such policies, when expressly incorporated by reference into these Terms, shall become part of the contractual framework and shall have the same force and effect as these Terms.

9.21 Reserved Rights

EMW MEDIA Trust and EMW Technologies, LLC reserve all rights not expressly granted in these Terms. No implied licenses, permissions, waivers, or contractual obligations shall be inferred from any provision of these Terms or from any course of dealing, custom, delay, usage, or practice between the parties.

9.22 Successors & Assigns

These Terms bind and benefit the parties and their respective permitted successors and assigns.

9.23 Maximum Enforceability

If any provision of these Terms is held to be unenforceable in any jurisdiction, it shall be enforced to the greatest extent permitted by applicable law, and the unenforceability of such provision shall not affect the enforceability of the remaining provisions. The court shall modify the provision only to the extent necessary to preserve the commercial intent of the parties.

9.24 Future Technologies

These Terms automatically govern all future products, software, AI systems, autonomous systems, APIs, commercial offerings, successor technologies, replacement technologies, and technologies not yet invented, unless EMW Technologies, LLC expressly states otherwise in writing. The listed examples are illustrative rather than exhaustive. Your continued use of the Platform after the introduction of any future technology constitutes your acceptance of these Terms as applied to that technology.

Module 10: Schedules, Trademarks, Contact Information & Final Provisions

10.1 Official Contact Information

All official legal notices, communications, and inquiries to EMW Technologies, LLC should be directed to the following contact points. EMW Technologies, LLC may update its contact information at any time without amending these Terms by posting updated information on the Platform.

Notices sent to an obsolete address supplied by you are deemed received if you failed to update your contact information. EMW Technologies, LLC may designate additional or alternative electronic methods for receiving notices in the future.

10.2 Official Notices

Legal notices to EMW Technologies, LLC must be sent in writing to the Legal Notices contact above. EMW Technologies, LLC may, in its sole discretion, designate additional or alternative methods for receiving notices, including electronic submission systems. You are responsible for ensuring that your contact information is current and that you receive any notices sent to you through the Platform or to your registered email address.

10.3 Registered Trademarks & Brand Protection

EMW MEDIA Trust owns all rights in and to its trademarks, service marks, trade dress, logos, slogans, product names, platform names, methodologies, and branding, whether registered or unregistered. The following list is illustrative rather than exhaustive:

All Platform content is protected by copyright law. This includes, but is not limited to, software, databases, reports, graphics, videos, HTML, CSS, documentation, workflows, prompts, AI methodologies, training materials, and all other content, whether now existing or hereafter developed. EMW MEDIA Trust reserves all rights in its copyrighted works. No content may be reproduced, distributed, displayed, or used to create derivative works without the prior written consent of EMW Technologies, LLC, except as expressly permitted by these Terms.

10.5 Patent & Trade Secret Reservation

EMW MEDIA Trust reserves all rights in its inventions, patentable subject matter, trade secrets, proprietary algorithms, AI systems, scoring methodologies, workflows, evaluation models, resolver logic, software architecture, and all related intellectual property, whether or not patent applications have been filed. Nothing in these Terms grants any license or right to use any EMW patent, patent application, or trade secret beyond the limited license expressly granted to access the Platform.

10.6 Future Products & Services

EMW Technologies, LLC may, at its sole discretion, introduce software, APIs, AI systems, SaaS offerings, subscriptions, marketplaces, publishing services, analytics, education, certifications, enterprise products, and other commercial offerings without amending these Terms except where legally required. Your continued use of any future product or service constitutes your acceptance of these Terms as applied to that product or service.

10.7 Future Schedules

EMW Technologies, LLC may publish schedules governing Acceptable Use, Pricing, Service Levels, Security, AI Policies, Publishing Standards, Business Visibility Methodology™, Partner Programs, Affiliate Programs, Enterprise Services, API Terms, Beta Services, and other matters. When expressly incorporated by reference into these Terms, such schedules become part of the contractual framework and shall have the same force and effect as these Terms.

10.8 Beta Services

EMW Technologies, LLC may, at its sole discretion, offer alpha, beta, preview, early access, experimental, or evaluation services (“Beta Services”). Beta Services are provided “AS IS” and may be changed, discontinued, or contain defects. Beta Services may have limited support, reduced functionality, or no service level commitments. EMW Technologies, LLC has no obligation to continue any Beta Service or to convert it into a generally available product.

10.9 Government Use

To the fullest extent permitted by applicable law, if you are a government entity, you acknowledge that the Platform and all related services are commercial software and services developed at private expense, and that all disclaimers, limitations of liability, and other provisions of these Terms apply to the maximum extent permitted by law.

10.10 Feedback & Suggestions

All feedback, suggestions, ideas, feature requests, recommendations, bug reports, and other input you provide to EMW Technologies, LLC shall become the unrestricted, perpetual, worldwide, royalty‑free, irrevocable, transferable property of EMW Technologies, LLC. EMW Technologies, LLC may use such feedback without restriction and without any compensation to you. You waive any moral rights or other rights in any feedback provided to EMW Technologies, LLC. This Section is consistent with and does not expand upon the feedback provisions of Module 5.

10.11 Public Announcements

EMW Technologies, LLC reserves the right to announce platform updates, product launches, legal updates, policy updates, and operational announcements. Customer‑specific announcements may be made with your consent, except as otherwise permitted by these Terms or applicable law.

10.12 No Future Obligation

EMW Technologies, LLC has no obligation to continue any product, feature, API, methodology, or service. EMW Technologies, LLC may, at its sole discretion, discontinue, replace, or modify any offering at any time, with or without notice, except as otherwise expressly stated in these Terms or required by applicable law.

10.13 Reserved Business Decisions

EMW Technologies, LLC retains sole discretion regarding pricing, products, features, support, publishing, partnerships, AI systems, methodologies, staffing, commercial strategy, and all other business decisions. Nothing in these Terms shall be construed to limit EMW Technologies, LLC’s right to make any business decision in its sole discretion.

10.14 Closing Statement

10.15 Final Reservation of Rights

EMW MEDIA Trust and EMW Technologies, LLC reserve every right not expressly granted in these Terms. No implied licenses, permissions, approvals, obligations, waivers, or commitments shall be inferred from any provision of these Terms or from any course of dealing, custom, delay, usage, or practice. All rights not expressly granted are reserved exclusively to EMW MEDIA Trust and EMW Technologies, LLC.
