These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and EMWNews, Ltd. (“EMWNews”, “we”, “us”, or “our”). By accessing, registering for, submitting content to, or using the EMWNews website, press release submission system, distribution services, or any related features (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.



1. Eligibility

You must be at least fourteen (14) years of age to use the Service. By using the Service, you represent and warrant that you are at least 14 years old and have the legal capacity to enter into this binding agreement.



2. Press Release Submission and Editorial Review

All press releases and content submitted through the Service are subject to editorial review and approval at EMWNews’s sole and absolute discretion. EMWNews reserves the right, at any time and without notice, explanation, or liability, to accept, reject, edit, modify, delay, or remove any submission or published content. Submission does not guarantee publication, distribution, or continued availability.



3. No Refunds

ALL SALES ARE FINAL. Once payment has been processed, no refunds, partial refunds, credits, chargebacks, or reversals will be issued under any circumstances whatsoever, including but not limited to rejection of content, request for deletion, change of mind, dissatisfaction with results, technical issues, or any other reason.



4. No Deletions; Limited Removal Policy (Cryptocurrency Only)

General Rule: No Deletions. EMWNews maintains a permanent archival record of all press releases submitted and published through the Service. Once a press release has been approved and published, it remains part of the public record and will not be deleted except in the limited circumstances described below.

Limited Removal Requests — Original Author Only. EMWNews may, at its sole and absolute discretion, consider a written request for removal of a published press release only if the request is submitted by the verified original author/publisher of that press release. Removal requests submitted by any third party (including but not limited to subjects of the press release, competitors, or alleged aggrieved parties) will not be considered or responded to.

To request removal, the original author must submit a formal request through EMWNews’s designated removal request system, which requires identity verification, a sworn statement of authorship, and payment of a non-refundable administrative fee of $250 USD. Payment of the fee does not guarantee removal; EMWNews reserves the right to deny any removal request for any reason, including but not limited to:

  • The press release has already been syndicated to third parties over which EMWNews has no control;
  • The press release is referenced by other news outlets or indexed by search engines beyond EMWNews’s ability to remove;
  • The request is determined to be motivated by bad faith, evasion of accountability, or attempt to suppress truthful information;
  • EMWNews determines, in its sole judgment, that the public interest in maintaining the press release outweighs the author’s removal request.

No Refund of Removal Fee. If a removal request is denied, the $250 administrative fee shall not be refunded under any circumstances. If a removal request is approved, EMWNews will make commercially reasonable efforts to remove the press release from its own website, but makes no representation or warranty that the press release will be removed from search engine caches, third-party syndicators, the Wayback Machine, or any other external platform.

Removal Fee — Mandatory Cryptocurrency Payment. The $250 administrative fee (or $2,500 chargeback penalty fee) for removal requests must be paid exclusively in cryptocurrency to the wallet addresses listed below. Cryptocurrency payments are irreversible and cannot be charged back. EMWNews does not accept credit cards, PayPal, bank transfers, or any other fiat payment method for removal fees under any circumstances.

By submitting a removal request, you acknowledge and agree that:

  • You have verified the correct cryptocurrency wallet address before sending payment;
  • Cryptocurrency transactions are final and non-refundable;
  • EMWNews has no obligation to process removal requests until full payment is received and confirmed on the respective blockchain;
  • If you send the incorrect cryptocurrency type, incorrect amount, or use the wrong network, your payment will be considered lost and EMWNews has no obligation to recover it;
  • No alternative payment methods will be accepted for removal fees, regardless of circumstances.

⚠️ WARNING: EMWNews will never request payment by any other method for removal fees. Any email, message, or website claiming to accept credit cards, PayPal, wire transfers, or any other payment method for removals is fraudulent. You bear sole responsibility for verifying wallet addresses before sending cryptocurrency.

No Obligation to Remove from Third Parties. Even if EMWNews approves and processes a removal request from its own website, you acknowledge and agree that your press release may have already been indexed, cached, archived (including by the Wayback Machine), syndicated to third parties, republished, or otherwise made available on the internet. EMWNews has no obligation, authority, or ability to remove content from Google, Bing, Internet Archive, any news aggregator, or any other third party. Your sole remedy, if any, is against those third parties directly.



EMWNews offers both free and paid distribution plans. Free-tier press releases may include advertisements, sponsored content, donation appeals, or other promotional material at EMWNews’s sole discretion. Paid-tier releases (Starter and above) are distributed without third-party advertising placed by EMWNews on the primary release page. The presence or absence of advertising shall not constitute grounds for refund, deletion, or any claim against EMWNews.



6. Use of Artificial Intelligence

EMWNews may use artificial intelligence (AI), machine learning, and automated tools in connection with the Service, including but not limited to editorial review, content analysis, quality scoring, editing suggestions, distribution decisions, and fraud detection. You acknowledge and agree that AI tools may be used in the processing of your submissions and that EMWNews shall have no liability for decisions or actions taken in whole or in part by such AI systems.



7. User Content and Representations

You are solely responsible for all content you submit. By submitting any press release or material, you represent and warrant that you have the full legal right and authority to submit and distribute the content, that it does not infringe any third-party rights, and that it complies with all applicable laws.



8. License Granted to EMWNews

By submitting any content to EMWNews, you grant EMWNews a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, fully paid-up, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, display, archive, and create derivative works from such content in connection with the Service and any related distribution, syndication, archival, promotional, or AI-related activities.



9. Third-Party Distribution and Syndication

Content submitted to EMWNews may be distributed to, syndicated by, or picked up by third parties, news outlets, aggregators, search engines, and other platforms. EMWNews has no control over such third-party use or republication and shall have no obligation to secure removal of content from any third-party source.



10. Prohibited Content

You may not submit content that is pornographic, hateful, defamatory, illegal, infringing, spam, or otherwise prohibited. EMWNews reserves the right to reject or remove such content without notice or liability.



11. DMCA / Copyright Takedown Policy

EMWNews respects the intellectual property rights of others. If you believe that your copyrighted work has been copied and is accessible on the Service in a way that constitutes copyright infringement, please notify our designated copyright agent with the following information:

  • A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
  • Identification of the copyrighted work claimed to have been infringed;
  • Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material;
  • Your contact information, including address, telephone number, and email address;
  • A statement that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  • A statement, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

EMWNews will respond to valid DMCA notices in accordance with applicable law and may remove or disable access to the allegedly infringing material. Repeat infringers may have their accounts terminated.



12. Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. It affects your legal rights.

Commercial Use Acknowledgment. You acknowledge that you are using EMWNews for commercial or business purposes, not as a consumer for personal, family, or household use, and therefore consumer protection laws regarding arbitration costs shall not apply.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding individual arbitration administered by JAMS under its International Arbitration Rules, seated in Bucharest, Romania. The arbitration shall be conducted in English before a single arbitrator.

Class Action Waiver: You and EMWNews agree that any arbitration or proceeding shall be limited to the individual claim between the parties. You expressly waive any right to participate in any class action, class arbitration, collective action, or representative proceeding against EMWNews.

Waiver of Jury Trial: You and EMWNews waive any right to a jury trial.

Statute of Limitations: Any claim must be brought within twelve (12) months after the claim arises, or it shall be permanently barred.

Removal Disputes. Any dispute arising from a denied removal request, the removal process, or the application of removal fees shall be resolved exclusively through binding arbitration as set forth in this Section. No court shall have jurisdiction to order removal of content that EMWNews has denied removal for.

Costs and Fees — Customer Bears Arbitration Costs. You acknowledge and agree that arbitration involves administrative fees, arbitrator compensation, and other costs. You shall bear 100% of all arbitration costs, including but not limited to: JAMS case management fees, arbitrator fees, hearing expenses, administrative charges, and any other costs associated with the arbitration proceeding. EMWNews shall not contribute to or reimburse any arbitration costs, regardless of the outcome of the dispute.

Additionally, you shall reimburse EMWNews for its lost productivity, internal staff time, legal research, and any other internal costs incurred in connection with preparing for or participating in any arbitration proceeding arising from your claim. EMWNews’s internal time shall be valued at $250 per hour, and you agree that this is a reasonable estimate of EMWNews’s lost productivity and opportunity cost.

Exceptions: The only exception to your obligation to bear all arbitration costs is if applicable law specifically prohibits shifting such costs to the customer and such prohibition cannot be waived. Even in that limited circumstance, you shall remain responsible for your own legal fees, travel costs, and any costs unique to your participation.

No Small Claims Exception. Unlike many arbitration clauses, this Agreement does NOT permit you to pursue claims in small claims court. All disputes, regardless of amount in controversy, shall be resolved exclusively through arbitration under this Section.

Initiation of Arbitration. If you wish to initiate arbitration, you must first submit a written Notice of Dispute to EMWNews at [email protected]. The Notice must include your name, the specific press release(s) at issue, the amount in controversy, and a detailed statement of your claim. EMWNews has no obligation to respond to or participate in any arbitration where the required Notice was deficient or where you have not paid the required JAMS filing fees in full.

Non-Payment of Arbitration Fees. If you fail to pay any required arbitration fee, deposit, or cost within fifteen (15) calendar days of the due date, EMWNews may, at its sole option: (a) terminate the arbitration proceeding; (b) deem your claim abandoned with prejudice; and/or (c) pursue collection of all unpaid fees plus liquidated damages of $1,000 for administrative processing.

The arbitrator’s decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.



13. Chargeback Penalty (Liquidated Damages)

IMPORTANT: Chargebacks cause direct and indirect harm to EMWNews, including but not limited to: merchant account penalty fees, increased transaction rates, processing holds, account flags, reputational damage with payment processors, and ultimately permanent account termination. EMWNews treats chargebacks as a breach of these Terms, not as a dispute resolution mechanism.

Liquidated Damages Formula. If you initiate a chargeback, payment dispute, reversal, or similar action against any payment made to EMWNews (for any Service including distribution plans, upgrades, add-ons, removal fees, or any other transaction), you automatically agree to pay EMWNews liquidated damages in the following amount:

  • The greater of: (a) ten times (10x) the original transaction amount, OR (b) ten times (10x) the standard $250 removal fee ($2,500), whichever is higher.

Example: If you purchased a $4,000 distribution package and initiate a chargeback, your liquidated damages shall be $40,000 (10 x $4,000). If you purchased a $59 Starter package and initiate a chargeback, your liquidated damages shall be $2,500 (10 x $250), as this is greater than 10 x $59 ($590).

No Refund of Original Amount. In addition to liquidated damages, the original charged-back amount remains due and payable. EMWNews reserves the right to pursue collection of both the original amount and the liquidated damages through any lawful means, including but not limited to collections agencies, arbitration, and legal proceedings.

Payment of Penalty — Cryptocurrency Only. Any liquidated damages owed under this Section must be paid exclusively in cryptocurrency (BTC, DOGE, or SOL) to the wallet addresses listed in Section 4. Cryptocurrency payments are irreversible and cannot be charged back. EMWNews shall have no obligation to restore access, remove content, or provide any further Service until liquidated damages are paid in full.

Content Becomes Property of EMWNews. Upon any chargeback, all press releases, content, and intellectual property submitted in connection with the charged-back transaction shall become the sole and exclusive property of EMWNews, without any compensation to you. EMWNews may, at its sole discretion, resell, republish, watermark, or publicly label such content as “DISPUTED — CHARGED BACK” or similar designation.

Watermarking and Public Notice. For any press release associated with a chargeback, EMWNews may affix a permanent, visible watermark, banner, or warning stating that the release is the subject of a payment dispute, chargeback, or fraudulent transaction. This watermark shall remain in place until all liquidated damages and original amounts are paid in full. EMWNews may also publish a notice on the press release page stating the payment dispute, including the fact of the chargeback and the outstanding amount owed.

Acknowledgment of Reasonableness. You expressly acknowledge and agree that:

  • Liquidated damages under this Section are not a penalty, but a reasonable estimate of the actual damages EMWNews suffers from chargebacks, including merchant account penalties, increased processing fees, administrative costs, lost time, reputational harm, and risk of account termination;
  • The actual damages from a chargeback are difficult or impossible to calculate precisely;
  • The 10x formula is commercially reasonable and commonly used in industries vulnerable to chargeback fraud;
  • You voluntarily agree to this provision and waive any claim that the liquidated damages are unconscionable, excessive, or punitive.

No Chargeback as Dispute Resolution. You agree not to use chargebacks as a substitute for contacting EMWNews customer support or pursuing arbitration under Section 12. Any dispute regarding payment must be resolved through binding arbitration, not through your payment processor’s chargeback mechanism. If you initiate a chargeback, EMWNews shall automatically refer the matter to arbitration and seek enforcement of this Section.



14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMWNEWS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

15. Indemnification

You agree to defend, indemnify, and hold harmless EMWNews and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Service, any content you submit, or your violation of these Terms.

16. Electronic Communications Consent

You consent to receive all communications, notices, legal documents, updates, invoices, and other information from EMWNews electronically, including by email to the address associated with your account. You agree that all such electronic communications satisfy any legal requirement that such communications be in writing. You are responsible for maintaining a current and accurate email address on file with EMWNews.

17. No Third-Party Beneficiaries; Assignment

These Terms are for the sole benefit of the parties and do not create any rights for any third party. Nothing in these Terms shall be construed as creating a partnership, joint venture, or agency relationship between you and EMWNews.

You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of EMWNews. EMWNews may assign, transfer, or delegate its rights and obligations under these Terms at any time without restriction or notice.

18. Changes to Terms

EMWNews may modify these Terms at any time. Changes are effective upon posting. Your continued use of the Service constitutes acceptance of the updated Terms.

19. Termination

EMWNews may suspend or terminate your access to the Service at any time, with or without cause and without notice.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to conflict of law principles.

21. Miscellaneous

These Terms constitute the entire agreement between the parties concerning the subject matter hereof and supersede all prior agreements. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. EMWNews’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

By using the EMWNews Service, you acknowledge that you have read, understood, and agree to these Terms of Service, including the Binding Arbitration and Class Action Waiver, the Commercial Use Acknowledgment, the Customer-Pays-All-Arbitration-Costs provision, the Chargeback Penalty (Liquidated Damages) provision, the Cryptocurrency-Only Removal Fee policy, the Watermarking provision, the DMCA Policy, Electronic Communications Consent, and the No Third-Party Beneficiaries provisions.
