Negotiated Fees Are Not Discounts -They’re Hidden Payments

Just as what we call ‘life insurance’ should really be called ‘death insurance’–because it only pays out when someone dies–the term ‘negotiated fee’ in healthcare is designed to mislead. It suggests that patients receive a discount when, in reality, something very different is happening.

A negotiated fee is not how much the insurance company is willing to pay. It is the fee a provider pays to have patients steered to it. The provider absorbs this cost, and because it is often the most significant expense the provider faces, it must be covered by raising the prices billed to patients. What appears to be a discount is, in reality, an inflated charge that includes hidden fees.

This practice crosses the line of legality. Federal law forbids paying anyone or any entity to steer patients to a provider. Yet these payments are disguised in contracts and bookkeeping as ‘negotiated fees’ or ‘adjustments.’ They are kept out of IRS reporting because, if exposed, they would trigger fines and penalties on every transaction.

Courts have made clear that substance, not labels, determines legality. In *United States v. Greber*, so-called ‘consulting fees’ were ruled illegal kickbacks because they were tied to referrals. In *Spring City Foundry Co. v. Commissioner*, the Supreme Court ruled that income is recognized when billed, not when later erased by clever accounting. These cases apply directly: calling a hidden payment a ‘negotiated fee’ does not make it lawful or honest.

The truth is simple: negotiated fees are not discounts. They are hidden payments that inflate costs, distort taxes, and erode trust in our healthcare system. If we are to fix what is broken, we must start by calling things what they are.
