TORONTO, ONTARIO–( EMWNews – April 2, 2008) – Talware Networx Inc. (“Talware”) announces that each of the current members of Talware’s board of directors (the “Board”) has resigned and a new Board has been appointed in order to pursue new business opportunities for the company. As a result, the Board will consist of David Danziger (Chairman), Paul Pathak and Risa Sokoloff. Mr. Pathak has also been appointed President of Talware.

Each new member of the Board brings significant experience in working with junior companies at various stages of development. Mr. Danziger is a partner at Danziger Hochman Partners LLP, Licensed Public Accountants, Chartered Accountants, a full service audit and accounting firm and is President of Danziger & Hochman Ltd., a management consulting firm. Mr. Danziger is also currently the president of Danz Financial Corporation, a Limited Market Dealer registered with the Ontario Securities Commission. Mr. Danziger is currently, and has previously been, a director of several publicly traded companies.

Mr. Pathak is a partner at law firm Chitiz Pathak LLP and practices principally in the areas of corporate, securities, mergers, acquisitions and commercial law, particularly with respect to advising issuers and investors in connection with public and private financings and securities law compliance. Mr. Pathak has previously sat on the boards of several private and public companies listed on stock exchanges in both Canada and the United States.

Ms. Sokoloff is also a partner at law firm Chitiz Pathak LLP in the area of commercial litigation. Ms. Sokoloff has considerable experience with shareholder disputes, bankruptcy and insolvency litigation, securities law, complex real estate litigation and employment-related disputes on behalf of both executives and companies.

Talware’s common shares will remain halted from trading on the TSX Venture Exchange pending clarification from the Ontario Securities Commission (the “OSC”) with respect to the OSC’s review of the Company’s recent submission regarding certain continuous disclosure filings.
